The Certificate of Formation will officially create your LLC. You can find this form on the Mississippi Secretary of State’s site.

You’ll need to fill out the form with information regarding the LLC’s:

  • Name
  • Email address (you can use your own)
  • Future effective date
  • NAICS code
  • RA’s name and address

After you, an organizer, manager, or another LLC member signs the Certificate of Formation, you’ll have to wait for the Secretary of State to review it. 

Draw Up an Operating Agreement

An operating agreement isn’t actually required by state law, but it’s still best if you draw one up. Should anything happen, the courts can refer to this. Otherwise, if you don’t have one, they’ll use the state law to determine case outcomes, and that won’t always be in your best interest.

An operating agreement will detail how your business is run. Most importantly, it’ll clearly state what the responsibilities and rights are of the members and managers.

You should include:

  • The LLC’s name and address
  • Duration of the LLC
  • The RA’s name
  • Purpose of the LLC
  • Rights and responsibilities of the members
  • Voting powers of the members
  • Percentage interests of the members
  • Allocation of profits and losses
  • Rules for meetings and votes

In addition, you should detail what happens if an LLC member dies, becomes disabled, or wants to sell their shares.

Apply for Your Employer Identification Number (EIN)

The EIN is only necessary if you have more than one member, even if you don’t hire employees. If you’re the sole member, you should still apply for an EIN if you plan on hiring workers or if want to have your LLC taxed as a corporation.

You can apply for your EIN through the IRS’s website, or you can mail them. Once you receive it, treat it like an SSN. You’ll need to use it to file taxes, hire employees, and file your taxes.
