How much does it cost to form an LLC in Nevada?
Forming a Nevada LLC costs $425, paid in three parts at filing: $75 for the Articles of Organization, $150 for the Initial List of managers or members, and $200 for the State Business License. Nevada files all three together, so there is no way to pay only the $75.
Nevada now takes business filings online through its ORION portal.
Our walkthrough on how to file articles of organization in Nevada covers the form field by field.
How much does a Nevada LLC cost every year?
Every Nevada LLC files an Annual List and renews its State Business License each year, for a combined $350. Both are due by the last day of the month in which the LLC was formed.
That puts Nevada among the most expensive states to keep an LLC in, with only California, Massachusetts and Delaware charging more each year at the minimum. Over three years the state fees total $1,125, against $220 in Wyoming.
What does a Nevada LLC cost over the first three years?
The table below adds up the state fees a Nevada LLC pays in its first three years, using the minimum amounts Nevada charges. The second column adds the BusinessAnywhere registered agent service, which is free for the first year and $147 a year after that.
| Year | State fees only | With a registered agent service |
|---|---|---|
| Year 1 | $425 | $425 |
| Year 2 | $350 | $497 |
| Year 3 | $350 | $497 |
| Three-year total | $1,125 | $1,419 |
Does Nevada charge a franchise tax or income tax on LLCs?
Nevada has no state income tax, no franchise tax and no personal income tax.
Nevada’s Commerce Tax applies only to businesses with more than $4 million of Nevada gross revenue in a fiscal year. The rate depends on the industry, and the return is due 45 days after the 30 June fiscal year end. Most small LLCs never reach the threshold. Members who live in another state still pay that state’s income tax on their share.
How much does a registered agent cost in Nevada?
Every Nevada LLC must name a registered agent with a physical street address in Nevada. Acting as your own agent costs nothing, but your address goes on the public record and you must be available at that address during business hours. Commercial registered agent services charge a yearly fee for the same role.
The BusinessAnywhere registered agent service is free for the first year and $147 a year after that, with every document scanned to your online dashboard the day it arrives.

Does a Nevada LLC need an EIN, and what does it cost?
An EIN costs nothing when you apply directly with the IRS. A Nevada LLC needs one to hire employees, to open a business bank account and whenever it has more than one member. US residents with an SSN or ITIN apply through the IRS online EIN application and receive the number at the end of the session.
Founders outside the United States cannot use the online tool. They apply by phone, fax or post with IRS Form SS-4, and do not need an SSN to do it. The BusinessAnywhere EIN application service handles that process for $97. Our guide on how to obtain an EIN for your LLC covers both routes.
What other Nevada LLC fees should you budget for?
These fees apply only when you need the service. They are the Nevada state charges as of October 2026.
| Item | Fee | Notes |
|---|---|---|
| Reinstatement after dissolution | $300 | Plus all unpaid list fees and penalties. |
An operating agreement carries no state fee in Nevada, and Nevada does not collect it, but every LLC should have one to set out ownership and decision rights. BusinessAnywhere sells an operating agreement template for $97.
What happens if you miss a Nevada LLC deadline?
A late Annual List adds a $75 penalty, and a late business license renewal adds $100, so missing the deadline costs $175 on top of the $350.
If the list stays unfiled, Nevada revokes the LLC’s charter. Reinstatement costs $300 plus all unpaid list fees and penalties, and is not available once the charter has been revoked for five consecutive years.
If you intend to close the business, file formally instead of letting it lapse. Our guide on how to dissolve an LLC in Nevada sets out the steps.
How does Nevada compare with other states?
Nevada is one of the most expensive states to form and keep an LLC in. Its $425 day-one cost is more than four times the national median, and its $350 yearly cost is more than five times Wyoming’s $60 minimum.
| State | Formation fee | Yearly state fees (minimum) | What drives the cost |
|---|---|---|---|
| Nevada | $425 | $350 | $200 business license every year |
| Wyoming LLC cost | $100 | $60 | $60 minimum license tax, no income tax |
| Delaware LLC cost | $110 | $400 | $400 flat annual tax due 1 June |
| New Mexico LLC cost | $50 | $0 | No annual report, no franchise tax |
| California LLC cost | $70 | $800 | $800 annual tax from year one |
