What Clemta Is

Clemta is a US formation and compliance service for international founders, operated by Startup Law Consultancy, Inc. under the Clemta name. Its site says it has served founders in more than 170 countries and lists teams in Texas, London and Istanbul. It states that it is not a law firm.

Clemta sells three plans, all with the state fee billed separately. Essentials costs $349 a year and includes formation, the EIN, a year-round registered agent, a business address with 3 mail scans a year, Clemta Books bookkeeping software and an operating agreement template. Pro costs $1,068 a year and adds federal tax filing, annual state filing, up to five W-8, W-9 or 1099 reports and a 50% ITIN discount. Premium costs $2,879 a year and adds unlimited mail scans, sales tax registration and filing, a monthly bookkeeper, expedited incorporation and EIN, and a free ITIN for one person.

Clemta’s refund and cancellation policy sets a 12-month commitment period on every plan, monthly or yearly. Cancellation takes effect only after that period, and early cancellation of a monthly plan is at Clemta’s discretion with a penalty of two months’ fees.

What BusinessAnywhere Is

BusinessAnywhere forms US LLCs and corporations for founders who live outside the United States, with no citizenship, residency, US visit or SSN required. Formation is $0 plus the state’s filing fee in all 50 states, DC and Puerto Rico. The first year of registered agent service is free and renews at $147 a year, with legal mail scanned to your dashboard. The EIN application service costs $97 and covers applicants with or without a Social Security number.

Every other service is priced on its own, so you pay only for what you use: a virtual mailbox from $20 a month billed annually with unlimited scanning, state annual report filing for $50 a year plus the state fee from year two, operating agreement and bylaws templates for $97 each, an S corporation election filing for $97, 5-day expedited filing for $57 and 2-day filing for $77. Standard filing takes 10 to 14 working days. There is no subscription and no minimum term.

Price Comparison: A Wyoming LLC Over Two Years

Wyoming charges $100 to form an LLC and at least $60 a year for the annual report, per our breakdown of Wyoming LLC costs. The table compares Clemta’s entry and tax-filing plans with BusinessAnywhere for the same Wyoming LLC.

OptionYear oneEach year after
Clemta Essentials$449: $349 plan plus $100 state fee$409: $349 plan plus $60 state fee
Clemta Pro (with federal tax filing)$1,168: $1,068 plan plus $100 state fee$1,128: $1,068 plan plus $60 state fee
BusinessAnywhere, formation and EIN only$197: $100 state fee plus $97 EIN$207: $147 agent plus $60 state fee
BusinessAnywhere with mailbox and annual report filing$437: adds a $240 mailbox year$497: $147 agent, $60 state fee, $240 mailbox, $50 filing

For formation, the EIN and a registered agent, BusinessAnywhere costs $252 less than Clemta Essentials in year one and $202 less each year after. With a full-year mailbox and annual report filing added, BusinessAnywhere costs $12 less than Essentials in year one and $88 more each year after, and that mailbox includes unlimited scanning where Essentials includes 3 scans a year.

Clemta Pro is the plan to compare if you want your federal return filed for you. A foreign-owned single-member LLC files Form 5472 with a pro forma Form 1120 each year, and Pro bundles that work. BusinessAnywhere does not file federal returns, so a founder who chooses it hires a tax preparer separately.

Mail and US Address

Both services give the company a US address. The difference is volume. Clemta Essentials and Pro include 3 mail scans a year, and Premium includes unlimited scans. BusinessAnywhere’s virtual mailbox includes unlimited scanning on every plan, with junk mail shredded free and worldwide forwarding at $2 packing plus the carrier cost. A company that receives bank letters, IRS notices and customer mail uses more than 3 scans a year.

EIN Timing

Clemta’s EIN page gives 4 to 6 weeks for a standard application and 2 to 4 weeks expedited, with expedited EIN included on Premium. BusinessAnywhere’s $97 service covers founders with or without an SSN. Both services file the IRS application for you; the IRS sets the processing time.

Contract Terms and Flexibility

This is where the two models differ most. Clemta plans auto-renew and carry a 12-month commitment, downgrades are allowed only after 12 months, and refunds are at Clemta’s discretion once a filing has started. BusinessAnywhere has no subscription for formation: the registered agent renews yearly at $147 and the mailbox and filing services are separate, so you can drop a service you no longer need.

Which One Should You Choose?

Choose Clemta if

  • You want federal tax filing, annual state filing and formation in one yearly price.
  • You need an ITIN and want the discount or free ITIN that comes with Pro or Premium.
  • You want sales tax filing and a monthly bookkeeper from the same provider (Premium).

Choose BusinessAnywhere if

  • You want the lowest cost to form and keep a US LLC.
  • You receive regular mail and want unlimited scanning without moving to a $2,879 plan.
  • You prefer no subscription and no 12-month commitment.
  • You already have an accountant, or want to choose your own tax preparer.
