In Short: Maine LLC Annual Report

Every Maine LLC files an annual report with the Maine Secretary of State between January 1 and June 1 each year. The fee is $85 for a Maine LLC and $150 for a foreign LLC.

  • Who files: every Maine LLC and every foreign LLC authorized in Maine.
  • Due date: June 1, starting the year after formation.
  • Fee: $85 for a Maine LLC, $150 for a foreign LLC.
  • Late fee: $50 penalty in addition to the fee.
  • If you never file: after a 60-day notice, a Maine LLC is administratively dissolved. Reinstatement costs $150 per missed report, capped at $600, within six years.

Maine runs its annual report on one statewide deadline, June 1, and the Secretary of State sends reminders only by email. The fee is lower for Maine LLCs than for foreign ones, and a missed report brings a $50 penalty before dissolution.

This guide covers who files, the deadline, the fees and penalty, what the report asks for, how to file online or on paper, and how dissolution and reinstatement work.

Who Must File a Maine LLC Annual Report?

Under 31 M.R.S. § 1665, each Maine LLC and each foreign LLC authorized to do business in Maine files an annual report. An LLC that has stopped doing business can apply for a Certificate of Excuse (Form MLLC-14, $40), which excuses the report, and resume later with a Certificate of Resumption (Form MLLC-14A, $100).

When Is the Maine Annual Report Due?

Reports are due between January 1 and June 1 of the year after the LLC was formed, and every year after that. The Secretary of State’s own example: an LLC whose articles were filed in 2024 filed its first report by June 1, 2025. For a foreign LLC, the count runs from the year it filed its statement of foreign qualification.

The Secretary of State sends reminder emails and does not mail reminders, so the email address on record matters.

How Much Does the Maine LLC Annual Report Cost?

The fee is $85 for a Maine LLC and $150 for a foreign LLC under 31 M.R.S. § 1680. An amended annual report costs the same. Online payment accepts Visa, MasterCard, Discover and American Express.

The $50 late penalty

A report filed after June 1 adds a $50 penalty on top of the fee. The Secretary of State’s 2026 notice says the late penalty is not waived, while § 1667 excuses it when an LLC shows excusable neglect and provides a copy of the report within 30 days after learning the original was not received.

What Information Does the Maine Annual Report Ask For?

Under § 1665, the report lists:

  • The LLC’s name.
  • Its registered agent information.
  • The principal office address.
  • A brief description of the business actually conducted in Maine.
  • The name and address of at least one member, manager or other authorized person.

The information must be current as of delivery. A nonconforming report that is returned for correction counts as on time if it is resubmitted within 30 days.

How to File the Maine LLC Annual Report: Step by Step

  1. Open Annual Reports Online. Go to Annual Reports Online and continue as a non-subscriber or with a subscriber login.
  2. Find the LLC. Select the LLC’s record.
  3. Review the details. Confirm the registered agent, principal office, business description and member or manager.
  4. Pay the fee. Pay $85, or $150 for a foreign LLC, by card.
  5. Save the confirmation. Keep a copy with the LLC’s records.

Prefer paper? Download the preprinted form and mail it with payment. Near the deadline, the Secretary of State recommends a manual postmark or certified mail. Processing currently takes 10 to 15 business days.

What Happens If a Maine LLC Does Not File?

If an LLC fails to file the report and pay the fee or penalty, § 1667 directs the Secretary of State to dissolve a Maine LLC or revoke a foreign LLC’s authority. Written notice goes by mail, and the LLC has 60 days after notice to cure (§ 1592). A dissolved LLC cannot transact business in Maine except to wind up, and its name stays protected for three years. A revoked foreign LLC cannot reinstate and must qualify again.

Reinstating a dissolved Maine LLC

A Maine LLC can apply for reinstatement within six years of administrative dissolution under 31 M.R.S. § 1593. The application states the LLC’s name, the dissolution date and that the grounds have been eliminated. The fee is $150 for each ground of dissolution; for missed annual reports it is $150 per report with a $600 maximum, and an unpaid late penalty counts as a separate $150 ground. Reinstatement relates back to the dissolution date, and an LLC not reinstated within six years has its certificate of formation cancelled.

Maine Tips for Non-Resident Owners

Make sure the Secretary of State’s reminder emails reach your inbox, since no paper reminder arrives. File by mid-May to leave room for processing. If the Maine LLC has stopped operating, a $40 Certificate of Excuse ends the yearly report instead of paying $85 each year.

Keep Your Maine LLC in Good Standing

Filing the Maine annual report by June 1 each year is what keeps your LLC in good standing with the Secretary of State. Banks, payment processors and new partners ask for proof of that status, and the document that shows it is a Maine certificate of good standing. Most missed filings trace back to one problem: the state’s reminder went to an old address. A registered agent service that scans and forwards state mail closes that gap. If a deadline has already passed, our guide on what happens when you miss an annual report deadline walks through the fix, and our LLC annual report guide for every state covers the rules in other states where you are registered.
