LARA charges $50 to file Articles of Organization for a Michigan LLC, online or by mail. A professional LLC (PLLC) pays the same $50 to form.

How much does a Michigan LLC cost every year?
Every Michigan LLC files an annual statement by 15 February, and the fee is $25. The statement is filed online through the MiBusiness Registry portal. An LLC formed after 30 September does not file on the 15 February immediately after formation.
A professional LLC pays $75 for the same statement. At $25 a year, Michigan is one of the cheapest states to keep an LLC in good standing: the formation fee plus two annual statements comes to $100.
What does a Michigan LLC cost over the first three years?

Does Michigan charge a franchise tax or income tax on LLCs?
Michigan charges no franchise tax and no entity-level tax on an LLC taxed as a partnership or a disregarded entity. The 6% Corporate Income Tax applies only to an LLC taxed as a corporation.
Profit flows through to the members’ Michigan individual income tax returns. Michigan also offers an optional flow-through entity tax that an LLC can elect.
How much does a registered agent cost in Michigan?
Every Michigan LLC must name a registered agent with a physical street address in Michigan. Acting as your own agent costs nothing, but your address goes on the public record and you must be available at that address during business hours. Commercial registered agent services charge a yearly fee for the same role.

Does a Michigan LLC need an EIN, and what does it cost?
An EIN costs nothing when you apply directly with the IRS. A Michigan LLC needs one to hire employees, to open a business bank account and whenever it has more than one member. US residents with an SSN or ITIN apply through the IRS online EIN application and receive the number at the end of the session.

What happens if you miss a Michigan LLC deadline?
A standard Michigan LLC pays no late fee for a missed annual statement, but it loses good standing. After two years without statements, the LLC is no longer in good standing and its name becomes available to other businesses. A PLLC pays a $50 late fee after 15 February.
Restoring good standing costs $50 plus $25 for each missed statement, filed online together with the overdue statements. An LLC that missed two years pays $100 to restore.
