How much does it cost to form an LLC in Indiana?
Indiana’s Articles of Organization form (State Form 49459) lists a $100 filing fee for an LLC. Founders file online through INBiz, Indiana’s business portal, which adds a checkout processing fee of at least $1 and no more than 2.15%.

How much does an Indiana LLC cost every year?
Indiana LLCs file a Business Entity Report every two years instead of an annual report. The report costs $32 through INBiz or $50 on paper, and it is due by the end of the month in which the LLC was formed, every other year.
Spread over two years, the online report works out to $16 a year, which makes Indiana one of the cheapest states to keep an LLC. INBiz emails reminders 90 days and 30 days before the report is due.
What does an Indiana LLC cost over the first three years?

The Business Entity Report is due every other year by the end of the month in which the LLC was formed, so the first $32 report falls at the end of year two and the next one at the end of year four. Averaged out, that is $16 a year, which is the figure used for yearly fees on this page.
Does Indiana charge a franchise tax or income tax on LLCs?
Indiana charges no franchise tax and no minimum tax on LLCs. An LLC taxed as a partnership or a disregarded entity pays no state tax itself, and profit passes to the members’ Indiana individual income tax returns.
An LLC that elects to be taxed as a corporation pays Indiana corporate income tax instead.
How much does a registered agent cost in Indiana?
Every Indiana LLC must name a registered agent with a physical street address in Indiana. Does an Indiana LLC need an EIN, and what does it cost?
An EIN costs nothing when you apply directly with the IRS. An Indiana LLC needs one to hire employees, to open a business bank account and whenever it has more than one member. US residents with an SSN or ITIN apply through the IRS online EIN application and receive the number at the end of the session.

What happens if you miss an Indiana LLC deadline?
Indiana charges no late fee for a missed Business Entity Report, but an LLC that does not file is administratively dissolved. INBiz sends past-due and pending-dissolution notices before the dissolution takes effect.
Reinstatement requires a Certificate of Clearance from the Indiana Department of Revenue, which takes about four weeks, plus the overdue reports. An LLC dissolved for more than five years must apply on paper.
