How much does it cost to form an LLC in New Hampshire?

The New Hampshire Secretary of State charges $100 to file a Certificate of Formation (Form LLC-1) for an LLC. Any fee paid electronically carries a $2 handling charge, so the online cost is $102.

In-person expedited service costs $25 more. A name reservation costs $15, and a trade name registration costs $50 for five years.

How much does a New Hampshire LLC cost every year?

Every New Hampshire LLC files an annual report between 1 January and 1 April, and the fee is $100. The first report falls in the year after formation, but an LLC formed between 1 December and 1 April skips that year and files the following year (RSA 304-C:194).

The $100 report matches the formation fee, so a New Hampshire LLC costs the same each year as it did to start.

Does New Hampshire charge a franchise tax or income tax on LLCs?

New Hampshire has no personal income tax, but it taxes business income at the entity level. The Business Profits Tax of 7.5% applies when gross business income exceeds $109,000, and the Business Enterprise Tax of 0.55% applies when gross receipts or the enterprise value tax base exceeds $298,000, for tax periods from 2025.

Below those thresholds, a New Hampshire LLC owes neither tax. The Interest and Dividends Tax was repealed for tax periods beginning on or after 1 January 2025.

How much does a registered agent cost in New Hampshire?

Every New Hampshire LLC must name a registered agent with a physical street address in New Hampshire. Acting as your own agent costs nothing, but your address goes on the public record and you must be available at that address during business hours. Does a New Hampshire LLC need an EIN, and what does it cost?

An EIN costs nothing when you apply directly with the IRS. A New Hampshire LLC needs one to hire employees, to open a business bank account and whenever it has more than one member. US residents with an SSN or ITIN apply through the IRS online EIN application and receive the number at the end of the session.

What happens if you miss a New Hampshire LLC deadline?

A New Hampshire annual report received after 1 April carries a $50 late fee, which the state does not waive. An LLC that fails to file for two consecutive years is administratively dissolved.
