How much does it cost to form an LLC in New Jersey?

The New Jersey Division of Revenue and Enterprise Services charges $100 to file a Certificate of Formation for an LLC. The filing goes through the state’s online business portal.

Expedited service costs $25 over the counter, $50 for same-day handling, $500 for two-hour handling and $1,000 for one-hour handling. A name reservation costs $50.

How much does a New Jersey LLC cost every year?

Every New Jersey LLC files an annual report by the last day of its anniversary month, and the fee is $75. Paying online adds a $3 card fee or a $0.50 e-check fee. The fee rose from $50 to $75 in July 2019.

An LLC taxed as a partnership with more than two owners and New Jersey source income also pays a partnership filing fee of $150 per owner each year, capped at $250,000, with the NJ-1065 return.

Does New Jersey charge a franchise tax or income tax on LLCs?

New Jersey has no franchise tax on single-owner or two-owner LLCs taxed as partnerships or disregarded entities, but larger partnership LLCs pay the partnership filing fee. The fee is $150 per owner, due by the 15th day of the fourth month after the tax year ends, together with a 50% installment of the next year’s fee.

Members pay New Jersey gross income tax on their share of profit, with a top rate of 10.75%.

How much does a registered agent cost in New Jersey?

Every New Jersey LLC must name a registered agent with a physical street address in New Jersey. Acting as your own agent costs nothing, but your address goes on the public record and you must be available at that address during business hours. Commercial registered agent services charge a yearly fee for the same role.

Does a New Jersey LLC need an EIN, and what does it cost?

An EIN costs nothing when you apply directly with the IRS. A New Jersey LLC needs one to hire employees, to open a business bank account and whenever it has more than one member. US residents with an SSN or ITIN apply through the IRS online EIN application and receive the number at the end of the session.

What happens if you miss a New Jersey LLC deadline?

A New Jersey LLC that fails to file annual reports for two consecutive years can have its charter revoked. A revoked LLC loses the right to do business in New Jersey until it reinstates.

Reinstatement costs $75 plus every outstanding annual report, $25 if the registered agent or office changes, and a $20 tax clearance certificate if the LLC was revoked more than two years earlier.

Maryland’s certificate of good standing is the Certificate of Status, issued by the State Department of Assessments and Taxation (SDAT), Charter Division. Order it online through Maryland Business Express under Business Entity Search, Certificate of Status and Document Order, or request it by mail. The SDAT fee is $20, plus $20 for expedited service.
