In Short: New Jersey LLC Annual Report

Every New Jersey LLC files an annual report with the Division of Revenue and Enterprise Services each year by the last day of the month it was formed. The fee is $75.

  • Who files: every New Jersey LLC and every foreign LLC registered in New Jersey.
  • Due date: the last day of the LLC’s anniversary month each year.
  • Fee: $75, paid online through the New Jersey business portal.
  • Two missed years: a domestic LLC is moved to an inactive list and its name opens up to others; a foreign LLC’s registration can be revoked.
  • Reinstatement: $75 plus every missed report fee and a late fee, and a tax clearance can be required.

New Jersey ties the annual report to the month your LLC was formed, and it files the report entirely online. The $75 fee is moderate, but the state’s enforcement is unusual: it does not dissolve an LLC for one missed year, and instead acts after two consecutive years without a report.

This guide covers the deadline, the fee, what the report asks for, how to file through the New Jersey business portal, and how reinstatement works if the LLC has already been made inactive.

Who Must File a New Jersey LLC Annual Report?

Every LLC formed in New Jersey and every foreign LLC registered to do business in New Jersey files an annual report. The report updates the state’s public record of the business, so it applies whether the LLC is operating, holding property or dormant.

When Is the New Jersey Annual Report Due?

According to the state’s business filings page, the annual report is due by the last day of the month the business was formed. An LLC formed in March files by March 31 each year. The portal shows the next due date for each business once you sign in, and the state needs the formation month and year to locate older records.

How Much Does the New Jersey LLC Annual Report Cost?

The Division’s fee schedule sets the annual report fee at $75 for domestic and foreign LLCs. New Jersey charges no separate franchise tax for LLCs, though LLCs with New Jersey income have their own tax filings with the Division of Taxation.

What Information Does the Annual Report Ask For?

  • The business name and mailing address.
  • The LLC’s EIN.
  • The registered agent’s name and contact information.
  • The names and addresses of the managing members or managers.

How to File the New Jersey LLC Annual Report: Step by Step

  1. Sign in to the New Jersey business portal. Annual reports are filed online.
  2. Find the business using its name or entity ID and confirm the due date.
  3. Update the information: mailing address, registered agent and managing members or managers.
  4. Pay the $75 fee online.
  5. Save the confirmation with your LLC records.

The portal accepts annual reports only from businesses in good standing. An LLC that has fallen behind for two years goes through the reinstatement service instead.

What Happens If You Do Not File?

Under N.J.S.A. 42:2C-26, an LLC that fails to file for two consecutive years faces action by the state. A domestic LLC’s certificate is moved to an inactive list. It remains an LLC and its members keep their liability protection, but its name becomes available for another business to take, and it can carry on only winding-up activity. A foreign LLC’s registration can be revoked, ending its authority to do business in New Jersey. The state can also act on an LLC that leaves a fee or penalty unpaid for 60 days after it is due, after notice and a 60-day cure period.

The reinstatement page explains the fix. The LLC files through the online reinstatement service, pays the $75 reinstatement fee, files the current and delinquent annual reports with their fees, and pays a late fee. The system tells you whether a tax clearance certificate from the Division of Taxation is also required.

Keep Your New Jersey LLC in Good Standing

Filing the LLC Annual Report on time is what keeps your LLC listed as active with the state. Banks, payment processors and new partners ask for proof of that status, and the document that shows it is a New Jersey certificate of good standing. Most missed filings trace back to one problem: the state’s reminder went to an old address. A registered agent service that scans and forwards state mail closes that gap. If a deadline has already passed, our guide on what happens when you miss an annual report deadline walks through the fix, and our LLC annual report guide for every state covers the rules in other states where you are registered.
