In Short: Oklahoma LLC Annual Certificate
Oklahoma does not call it an annual report. Every Oklahoma LLC files an Annual Certificate with the Secretary of State each year on the anniversary of its formation and pays $25. There is a 60-day grace period, and after that the LLC loses good standing.
- Who files: every Oklahoma LLC and every foreign LLC registered in Oklahoma.
- Due date: the anniversary date of the LLC’s formation or registration, each year.
- Fee: $25.
- Late fee: none listed, but the LLC loses good standing 60 days after the due date.
- If you never file: the articles of organization are cancelled on the third anniversary of the missed due date. Reinstatement requires every missed certificate and fee.
Oklahoma’s yearly LLC filing costs $25, and the state allows a 60-day grace period before anything happens. What sets Oklahoma apart is the long tail: an LLC that ignores the certificate does not disappear right away, but after three years its articles are cancelled by law.
This guide covers who files, how the anniversary due date works, the fee, what the certificate asks for under the rules in effect from November 1, 2026, how to file, and how to reinstate an LLC that has fallen out of good standing.

When Is the Oklahoma Annual Certificate Due?
The certificate is due on the anniversary date of the filing of the articles of organization, or of the registration for a foreign LLC, every year until the LLC is cancelled or withdraws. The Secretary of State’s business FAQ says a 60-day grace period applies.
- An LLC formed on February 12, 2026 files its first certificate by February 12, 2027, with the grace period running to mid-April 2027.
- An LLC formed on September 30, 2024 files by September 30 each year.
- A foreign LLC registered in Oklahoma on June 5, 2025 files by June 5 each year.
From November 1, 2026, the Secretary of State sends a notice at least 60 days before the anniversary date to the LLC’s email address on record, so keep that email current.
How Much Does the Oklahoma Annual Certificate Cost?
The Secretary of State’s fee schedule lists $25 for the annual certificate of an Oklahoma or foreign LLC, under 18 O.S. § 2055.2.
Is there a late fee?
The fee schedule lists no late fee for the annual certificate. The cost of filing late is the loss of good standing, described below.
What Information Does the Oklahoma Annual Certificate Ask For?
Under 18 O.S. § 2055.2 as amended by Senate Bill 1641 (effective November 1, 2026), the certificate:
- Confirms that the LLC is an active business
- Gives the LLC’s principal place of business address
- Gives the LLC’s email address
It does not ask for financial statements or a list of members or managers.

What Happens If You Miss the Oklahoma Deadline?
Under 18 O.S. § 2055.2, an LLC that has not filed and paid within 60 days after the due date ceases to be in good standing, and a foreign LLC ceases to be registered. The Secretary of State’s FAQ says the online status can then read Terminated or Expired.
While it is out of good standing, the Secretary of State will not accept other filings for the LLC or issue a certificate of good standing, and the LLC cannot maintain a lawsuit in an Oklahoma court until it is reinstated.
Under 18 O.S. § 2012.1, a domestic LLC that still has not filed and paid within three years from the due date has its articles of organization deemed cancelled on the third anniversary of that due date.
Reinstating an Oklahoma LLC
Under 18 O.S. § 2055.3, the LLC files all delinquent annual certificates, pays all delinquent annual certificate fees, and files an application for reinstatement stating its name and the date it ceased to be in good standing. This also works for an LLC cancelled under the three-year rule. The FAQ says the reinstatement form has no fee. If the old name is no longer available, the LLC must reinstate under a new name. To find out how many years are owed, call the Annual Certificate Department at (405) 522-2822.
Oklahoma Annual Certificate Tips for Non-Resident Owners
- Note your exact anniversary date. Oklahoma does not use a single statewide deadline.
- Keep the LLC’s email address current. From November 1, 2026, reminders go by email.
- Do not count on the grace period. File on the anniversary date.
- Check your status online once a year. Terminated or Expired means a certificate was missed.
Keep Your Oklahoma LLC in Good Standing
Filing the Annual Certificate on time is what keeps your LLC in good standing in Oklahoma. Banks, payment processors and new partners ask for proof of that status, and the document that shows it is an Oklahoma certificate of good standing. Most missed filings trace back to one problem: the state’s reminder went to an old address. A registered agent service that scans and forwards state mail closes that gap. If a deadline has already passed, our guide on what happens when you miss an annual report deadline walks through the fix, and our LLC annual report guide for every state covers the rules in other states where you are registered.
