How much does it cost to form an LLC in Texas?

The Texas Secretary of State charges $300 to file a Certificate of Formation (Form 205) for an LLC. The fee is the same online through SOSDirect or on paper, and it makes Texas one of the more expensive states to form in.

Texas sells expedited handling for $50 per document, next-day processing for $500 and same-day processing for $750. A name reservation costs $40 and holds the name for 120 days.

How much does a Texas LLC cost every year?

Texas charges no annual report fee, but every LLC files a Public Information Report (Form 05-102) or Ownership Information Report (Form 05-167) with the Texas Comptroller by 15 May. The report is free.

Since 2024, an LLC with annualized total revenue at or below the no-tax-due threshold no longer files a No Tax Due Report. It still files the Public Information Report. Founders who read that change as no filing at all lose their right to transact business in Texas.

For an LLC under the threshold, the state cost after formation is $0 a year. That makes Texas cheaper to keep over time than Florida, Delaware or Nevada, despite the higher formation fee.

What does a Texas LLC cost over the first three years?

Does Texas charge a franchise tax or income tax on LLCs?

Texas franchise tax applies only when an LLC’s annualized total revenue exceeds $2,650,000, the no-tax-due threshold for reports due in 2026 and 2027. Below that, the LLC owes no franchise tax.

Above the threshold, the rate is 0.375% for retail and wholesale businesses and 0.75% for others, applied to the taxable margin. Businesses with total revenue up to $20 million can use the EZ computation at 0.331% of apportioned revenue. Texas has no personal income tax, so members pay no Texas tax on profit passed through to them.

How much does a registered agent cost in Texas?

Every Texas LLC must name a registered agent with a physical street address in Texas. Acting as your own agent costs nothing, but your address goes on the public record and you must be available at that address during business hours. Commercial registered agent services charge a yearly fee for the same role.

Does a Texas LLC need an EIN, and what does it cost?

An EIN costs nothing when you apply directly with the IRS. A Texas LLC needs one to hire employees, to open a business bank account and whenever it has more than one member. US residents with an SSN or ITIN apply through the IRS online EIN application and receive the number at the end of the session.

What happens if you miss a Texas LLC deadline?

Each franchise tax report filed late carries a $50 penalty, and the Public Information Report is part of that filing. An LLC that keeps missing it loses its right to transact business, and the Secretary of State then forfeits its registration.

Reinstating a forfeited LLC costs $75 (Form 801) plus every report and tax payment owed. A forfeited LLC also loses the right to sue in Texas courts until it is reinstated.

A Florida LLC costs $125 to form: a $100 filing fee plus a required $25 registered agent designation fee, both charged by the Florida Division of Corporations (Sunbiz).
