How much does it cost to form an LLC in Florida?

Florida charges $125 to form an LLC: a $100 filing fee for the Articles of Organization and a $25 fee to designate the registered agent. Both are marked required on the Sunbiz fee schedule, and the cost is the same online or on paper.

Two other numbers on Sunbiz confuse founders. The checkout shows a $160 total when you also order a certified copy ($30) and a certificate of status ($5). Both are optional. Skip them and the formation cost is $125.

Florida offers no paid expedited service. Filings are processed in the order received. Online filings move faster than paper ones because they skip mail handling.

How much does a Florida LLC cost every year?

Every Florida LLC files an annual report between 1 January and 1 May, and the fee is $138.75. The first report is due in the calendar year after the LLC is formed. An LLC formed in October 2026 files its first report by 1 May 2027.

The deadline is the cost trap in Florida. A report received after 1 May costs $538.75, because Florida adds a flat $400 late fee. There is no grace period and no proration, so a report filed on 2 May costs the full $538.75.

What does a Florida LLC cost over the first three years?

Does Florida charge a franchise tax or income tax on LLCs?

Florida charges no franchise tax on LLCs and no personal income tax. A Florida LLC taxed as a sole proprietorship or partnership owes no Florida income tax on its profit.

Florida does levy a 5.5% corporate income tax, and it applies to an LLC that elects to be taxed as a C corporation. LLCs that sell taxable goods or services also register with the Florida Department of Revenue to collect sales tax. Neither is a fee for having the LLC.

How much does a registered agent cost in Florida?

Every Florida LLC must name a registered agent with a physical street address in Florida. Acting as your own agent costs nothing, but your address goes on the public record and you must be available at that address during business hours. Commercial registered agent services charge a yearly fee for the same role.

Does a Florida LLC need an EIN, and what does it cost?

An EIN costs nothing when you apply directly with the IRS. A Florida LLC needs one to hire employees, to open a business bank account and whenever it has more than one member. US residents with an SSN or ITIN apply through the IRS online EIN application and receive the number at the end of the session.

A Florida fictitious name (DBA) requires one extra step: you must advertise the name once in a newspaper in the county of your principal place of business before you register it with the state.

What happens if you miss a Florida LLC deadline?

Missing the 1 May deadline adds a $400 late fee, bringing the annual report to $538.75. If the report is still unfiled by the third Friday in September, Florida administratively dissolves the LLC on the fourth Friday in September.

Reinstatement costs $100 plus the annual report fee for every year missed. An LLC dissolved for one missed year pays $100 plus $138.75 to reinstate, in addition to any late fee owed.

A Texas LLC costs $300 to form with the Texas Secretary of State. Texas charges no annual report fee, and an LLC with annualized total revenue at or below $2,650,000 owes no franchise tax for reports due in 2026 and 2027. Every Texas LLC must still file a Public Information Report or Ownership Information Report with the Texas Comptroller by 15 May each year, and a late report costs $50.
