How much does it cost to form an LLC in Virginia?
The Virginia State Corporation Commission charges $100 to file Articles of Organization (Form LLC-1011). A foreign LLC pays the same $100 for a certificate of registration.

How much does a Virginia LLC cost every year?
Virginia LLCs file no annual report. Instead, each pays a $50 annual registration fee to the SCC by the last day of the month in which it was formed. The first fee falls in the first anniversary month, so an LLC formed in March 2026 pays by 31 March 2027.
The fee is set by statute (Va. Code 13.1-1062), applies whether or not the LLC is active, and is not refundable once paid.

Does Virginia charge a franchise tax or income tax on LLCs?
Virginia charges no franchise tax or minimum tax on LLCs. The annual registration fee is the only recurring state charge, and an LLC taxed as a partnership or a disregarded entity pays no state income tax itself.
Members pay Virginia individual income tax on their share of profit at graduated rates from 2% to 5.75%, with the top rate starting at $17,000 of taxable income.
How much does a registered agent cost in Virginia?
Every Virginia LLC must name a registered agent with a physical street address in Virginia. Does a Virginia LLC need an EIN, and what does it cost?
An EIN costs nothing when you apply directly with the IRS. A Virginia LLC needs one to hire employees, to open a business bank account and whenever it has more than one member. US residents with an SSN or ITIN apply through the IRS online EIN application and receive the number at the end of the session.

What happens if you miss a Virginia LLC deadline?
A Virginia annual registration fee paid after the due date carries a $25 penalty. If the fee is still unpaid on the last day of the third month after the due date, the LLC’s existence is automatically canceled.
A canceled LLC has five years to reinstate. Reinstatement costs $100 plus every unpaid annual registration fee and penalty.
