In Short: Does a Virginia LLC File an Annual Report?

No report form, but a yearly payment. A Virginia LLC pays a $50 annual registration fee to the State Corporation Commission (SCC) each year, due by the last day of the month in which it was formed or registered.

  • Who pays: every Virginia LLC and every foreign LLC registered in Virginia.
  • Due date: the last day of the LLC’s formation or registration month, starting the year after formation.
  • Fee: $50, with no processing fee for online payments.
  • Late penalty: $25.
  • If you never pay: the LLC is canceled automatically when the fee is still unpaid at the end of the third month after the due date. Reinstatement within five years costs $100 plus all fees and penalties owed.

Virginia is one of the few states where an LLC keeps its registration current without filing a report. The SCC assesses the fee, the LLC pays it, and nothing else is filed. The Virginia Limited Liability Company Act contains annual registration fee sections but no annual report section for LLCs.

This guide covers who pays, how the due date works, the fee and the penalty, how to pay through the Clerk’s Information System, and what happens when the fee goes unpaid.

Does a Virginia LLC Need to File an Annual Report?

No. Virginia LLCs pay an annual registration fee instead. Virginia Code sections 13.1-1061 through 13.1-1066 set the fee for every domestic LLC and every foreign LLC registered to transact business in Virginia, including protected series. There is no report to complete, and the payment itself keeps the LLC current.

The fee applies whether the LLC is active, dormant or has a single member.

When Is the Virginia Annual Registration Fee Due?

The SCC sets the due date as the last day of the month in which the LLC was organized or, for a foreign LLC, the month it registered in Virginia. The first payment is due in that month of the year after formation, and every year after that on the same schedule.

Payment must reach the SCC on or before the due date, even when the date falls on a weekend or holiday.

When you can pay

The SCC assesses the fee two months before the due date and mails the assessment to the LLC. Payment is accepted only after the assessment. An LLC formed on March 10, 2026 is assessed on January 1, 2027 and owes payment by March 31, 2027.

How Much Is the Virginia Annual Registration Fee?

The fee is $50 for domestic and foreign LLCs, under Virginia Code 13.1-1062 and the SCC’s annual registration fee page. The SCC states that online payments carry no processing fee.

If the fee is not paid by the due date, a $25 penalty is added under Virginia Code 13.1-1064, bringing the total to $75.

What Information Does Virginia Ask For?

None beyond the payment. Because Virginia has no LLC annual report, the LLC does not confirm its managers, members or addresses each year. A change of registered agent is made through a separate statement of change.

To pay online, the LLC needs an account on the Clerk’s Information System. Keep the LLC’s SCC ID number at hand, since the SCC uses it to identify the company.

How to Pay the Virginia Annual Registration Fee: Step by Step

  1. Wait for the assessment. The SCC assesses the fee two months before the due date, and payment opens after that.
  2. Log in to CIS. Create or sign in to an account on the Clerk’s Information System and open the LLC’s record.
  3. Pay $50 by card. Online payments must cover the full amount owed, including any penalty.
  4. Save the receipt. Keep the confirmation with the LLC’s records.

Paying by mail? Send a check or money order, and make sure it reaches the SCC by the due date. The SCC accepts partial payments by mail, but online payments must cover the full amount. It also accepts payment in person by card, money order, check or cash.

What Happens If a Virginia LLC Does Not Pay?

A late payment adds the $25 penalty, and the SCC mails a notice of the penalty and of any upcoming cancellation. If the fee is still unpaid on the last day of the third month after the due date, the LLC’s existence is canceled automatically under Virginia Code 13.1-1050.2, whether or not a notice was received. For a foreign LLC, the certificate of registration is canceled on the same schedule and its authority to transact business in Virginia ends.

The SCC gives this example: a fee due in April that is still unpaid by the last business day of July leads to cancellation.

Reinstating a canceled Virginia LLC

A canceled LLC can apply for reinstatement within five years of cancellation under Virginia Code 13.1-1050.4. The cost is a $100 reinstatement fee plus every annual registration fee and penalty owed before cancellation and through the reinstatement date. The application can be a letter that includes the SCC ID number. If the LLC’s name is no longer available, it amends its articles to change it, and if the registered agent resigned, it files a statement of change. A reinstated LLC is treated as if its existence had continued from the cancellation date. Foreign LLCs follow the same five-year rule and the same $100 fee.

Virginia Tips for Non-Resident Owners

Track the month, not only the day: the due date is the last day of your formation month every year. Pay online, where the SCC charges no processing fee. Watch the three-month line, because cancellation is automatic, and after five years a canceled LLC cannot be reinstated at all. Keep the registered agent’s address current, since the SCC mails the assessment and any penalty notice.

Keep Your Virginia LLC in Good Standing

Paying the Virginia annual registration fee by the last day of your formation month is what keeps your LLC active with the State Corporation Commission. Banks, payment processors and new partners ask for proof of that status, and the document that shows it is a Virginia certificate of good standing. Most missed filings trace back to one problem: the state’s reminder went to an old address. A registered agent service that scans and forwards state mail closes that gap. If a deadline has already passed, our guide on what happens when you miss an annual report deadline walks through the fix, and our LLC annual report guide for every state covers the rules in other states where you are registered.
