In Short: Washington DC LLC Biennial Report
Every DC LLC files a Biennial Report with the Department of Licensing and Consumer Protection (DLCP) every two years by April 1. The fee is $300 for domestic and foreign LLCs, and DC is one of the few places that asks for beneficial ownership details on the report.
- Who files: every DC LLC and every foreign LLC registered in DC.
- Due date: April 1, starting the year after the LLC was formed, then every second year.
- Fee: $300 every two years.
- Late fee: $100 after April 1.
- If you never file: DLCP can start administrative dissolution five months after the due date. Reinstatement costs $300 plus all unpaid fees and penalties.
Washington DC asks for a report every two years instead of every year, but the fee is high and the report asks for more than most states do. Along with the registered agent and principal office, DC wants the names and addresses of the people who own more than 10% of the LLC.
This guide covers who files, how the April 1 cycle works, the fee and late fee, what the report asks for, how to file in the new BOSS portal, and what happens if a report is never filed.

Who Must File a DC LLC Biennial Report?
Under DC Code § 29-102.11, every domestic filing entity and every foreign entity registered to do business in DC files a biennial report. That covers every LLC formed in DC and every out-of-state LLC registered there. Domestic and foreign LLCs file the same report and pay the same fee.
A DC LLC owned by a non-resident files exactly like one owned by a DC resident. The report goes in under the LLC, not under its owners.
When Is the DC Biennial Report Due?
The first report is due April 1 of the calendar year after the year the LLC was formed or registered. After that, the report is due April 1 every second year. The date does not depend on the anniversary of formation.
- An LLC formed in June 2026 files its first report by April 1, 2027, then by April 1, 2029.
- An LLC formed in January 2025 filed its first report by April 1, 2026, and files the next one by April 1, 2028.
- A foreign LLC registered in DC in March 2026 files its first report by April 1, 2027.
DLCP processes online filings in about five business days. Expedited processing is available for $50 (three days) or $100 (one day).
How Much Does the DC LLC Biennial Report Cost?
The biennial report fee is $300 for both domestic and foreign LLCs, according to the DLCP fee schedule for limited liability companies. Because the report covers two years, that works out to $150 a year.
The $100 late fee
A report filed after April 1 of the year it is due costs an extra $100, for a total of $400. The late fee applies no matter how many days late the report is.
What Information Does the DC Biennial Report Ask For?
The report confirms and updates the LLC’s public record. Under DC Code § 29-102.11 it asks for:
- The LLC’s name and the jurisdiction where it was formed
- The name and address of its DC registered agent
- The street and mailing address of its principal office
- The name and address of at least one governor (a manager, or a member in a member-managed LLC)
- For a foreign LLC, a statement that it is in good standing in its home jurisdiction
- Beneficial ownership: each person who holds more than 10% of the LLC directly or indirectly, with residence and business addresses, plus any person who controls its financial or operating decisions
Leaving out the ownership information is itself a ground for dissolution or termination, so fill in that section completely.
How to File the DC LLC Biennial Report: Step by Step
- Create an Access DC login. DLCP moved business filings to BOSS on August 10, 2026, and BOSS uses an Access DC account.
- Find your LLC. Search the entity in BOSS and open its record.
- Start the Biennial Report. Choose the biennial report filing for the entity.
- Confirm the agent and addresses. Check the registered agent, principal office and mailing address.
- List governors and beneficial owners. Enter at least one governor and every person who holds more than 10%.
- Choose processing speed. Standard processing takes about five business days; one-day and three-day options cost extra.
- Pay and save the receipt. BOSS accepts major credit cards and electronic checks. Keep the confirmation with your company records.
What Happens If You Miss the DC Deadline?
The $100 late fee applies the day after April 1. If the report and fees are still missing five months after the due date, DC Code § 29-106.01 allows the Mayor, acting through DLCP, to start administrative dissolution of a domestic LLC.
DLCP sends written notice first. The LLC then has 60 days after the notice is served to file the report and pay what it owes. If it does not, DLCP dissolves it. A dissolved LLC can only wind up its affairs or apply for reinstatement.
For a foreign LLC, DLCP can terminate the registration if the report is not filed within 60 days after the due date. The notice gives an effective date at least 60 days later, and filing before that date stops the termination.
Reinstating a dissolved DC LLC
A domestic LLC files Form GN-5 (Reinstatement of Domestic Filing Entity) and a foreign LLC files Form FN-6. Each costs $300. The LLC must also file the missing report, keep a registered agent and pay every fee and penalty owed, including those that would have come due while it was dissolved. Reinstatement relates back to the date of dissolution, so the LLC continues as if it had never been dissolved.
DC Biennial Report Tips for Non-Resident Owners
- Mark April 1 in the right year. Because the report is biennial, it is easy to forget which year is your filing year.
- Keep the registered agent address current. DLCP sends dissolution and termination notices there.
- Gather owner addresses before you start. The beneficial ownership section asks for residence and business addresses of each owner above 10%.
- DC can revoke an LLC that goes more than 60 days without a registered agent, separate from the biennial report.
Keep Your Washington DC LLC in Good Standing
Filing the Biennial Report on time is what keeps your LLC listed as active in DC. Banks, payment processors and new partners ask for proof of that status, and the document that shows it is a Washington DC certificate of good standing. Most missed filings trace back to one problem: the state’s reminder went to an old address. A registered agent service that scans and forwards state mail closes that gap. If a deadline has already passed, our guide on what happens when you miss an annual report deadline walks through the fix, and our LLC annual report guide for every state covers the rules in other states where you are registered.
