An Alaska Certificate of Compliance is an official statement from the Corporations Section that your LLC or corporation exists on the state’s records and is current with its state obligations. The Division states that Certificate of Compliance means the same as Certificate of Good Standing, so you can send it to anyone who asks for an Alaska good standing certificate.

To issue the certificate, the Division confirms that the entity is current on its biennial report, has up-to-date officials and registered agent records, and holds a current Alaska business license, plus a professional license where its line of work requires one. Banks ask for the certificate when you open a business account. Lenders, payment processors, buyers in due diligence and licensing agencies ask for it too, and other states require it when you register your Alaska entity there as a foreign business.

How to Order a Certificate of Compliance in Alaska

The online route is the fastest. Follow these steps:

  1. Go to the Alaska Corporations Forms and Fees page and open the Certificate of Compliance request.
  2. Search for your entity by its name or Alaska entity number and select it.
  3. Choose the Certificate of Compliance.
  4. Pay the $10.00 fee with a Visa or Mastercard. The fee is non-refundable.
  5. Print the certificate immediately. Save a PDF copy for your records.

Ordering by Mail

To order by mail, complete the Copy Request Form (cor4535), which is listed on the Forms and Fees page. Mail it to the Corporations Section with the $10.00 fee. The Division processes mail requests 10 to 15 business days after receipt, so use the online route when you face a deadline.

If the status shows a problem, fix it before you pay for a certificate, because the $10.00 fee is non-refundable. How an Alaska LLC Stays in Good Standing

Alaska LLCs and business corporations file a biennial report, not an annual report. The report is due January 2 every two years. Whether your filing year is even or odd depends on the year the entity was formed. The fee is $100.00, which rises to $137.50 with the late fee if the report is postmarked after February 1. Missing one or more biennial reports leads to involuntary dissolution.

The Division also checks three other items before it issues a Certificate of Compliance:

  • Registered agent: your LLC must keep a registered agent on file, and the record must be current.
  • Officials: the members, managers or officers on file must be current.
  • Business license: the entity must hold a current Alaska business license, plus any professional license its work requires.

What to Do If Your Alaska Business Is Not in Good Standing

If the Division will not issue a certificate, check the free search to find the cause. A late biennial report, a lapsed business license or an outdated registered agent record each blocks the certificate. File the missing report with the $137.50 late amount, renew the business license or update the agent and officials, then order the certificate again.

If your LLC or business corporation was involuntarily dissolved less than two years ago, email [email protected] with the entity name and entity number to start reinstatement.
