In Wisconsin, the agency that keeps business records is the Department of Financial Institutions, not a Secretary of State, and the certificate it issues is called a Certificate of Status. Ordering one online takes a few minutes and costs $10. This page explains the process, the quarter-based Annual Report that keeps your company eligible, and how to fix a delinquent record. For other jurisdictions, see our guide on how to get a certificate of good standing.

What a Wisconsin Certificate of Good Standing Is

A Wisconsin Certificate of Status is DFI’s official statement of your company’s status on the state’s records. It confirms that your LLC or corporation exists in Wisconsin and shows whether it is current with its required filings. Wisconsin does not issue a document titled “certificate of good standing,” so when anyone asks a Wisconsin company for one, the Certificate of Status is the document to send.

The certificate is only as good as your record. A company that has failed to file its Annual Report shows as delinquent, and a Certificate of Status for that company will not prove good standing. Check your record before you order.

Wisconsin companies are asked for a Certificate of Status by:

  • Banks opening a business account or reviewing a loan
  • Other states’ filing offices when the company registers to do business there (foreign qualification)
  • Lenders and leasing companies approving credit
  • Payment processors and online marketplaces verifying a seller
  • Buyers and investors in due diligence
  • Licensing agencies issuing state or local licenses

How to Order a Certificate of Status in Wisconsin

DFI’s online Certificate of Status application is the standard route, and it delivers the certificate right away.

  1. Open DFI’s Certificate of Status application.
  2. Search for your company by its registered name or DFI entity ID.
  3. Select the entity and review the status shown before you pay.
  4. Enter the email address where the certificate should go.
  5. Pay the $10 processing fee.
  6. Open the automated email DFI sends immediately and print the certificate. You can print unlimited copies from it, which helps when several banks or agencies each want an original.

Staff-processed requests. Some requests are handled by DFI staff rather than the automated system. Staff process requests in the order received, within 10 business days. Add $25 per document for expedited processing. Fees for both routes are on DFI’s certificates and certified copy fees page.

Wisconsin Certificate of Good Standing Fees and Processing Time

Method Fee Turnaround
Online Certificate of Status, LLC or corporation $10 Automated email sent immediately
Staff-processed request $10 In order received, up to 10 business days
Expedited staff-processed request $10 + $25 per document = $35 Faster than standard; time not published by the state

The fee is the same for an LLC and a corporation. Because the online certificate arrives immediately and prints in unlimited copies, one $10 order covers most needs.

How to Check Wisconsin Good Standing Status for Free

DFI’s corporate records search is free. Search by name or entity ID and open the record. It shows the entity’s current status. If the record shows the company as delinquent, file the missing Annual Report before you order a Certificate of Status.

For a walkthrough of the search screens, see our Wisconsin business entity search guide.

How a Wisconsin LLC Stays in Good Standing

Wisconsin sets the Annual Report deadline by quarter, not by a single date. A domestic LLC’s Annual Report is due by the end of the calendar quarter in which its registration anniversary falls. An LLC registered on May 10 files by June 30, the end of the second quarter. The fee is $25 online or $40 on paper. Business corporations follow the same deadline rule and fees.

A company that misses its report goes delinquent with DFI. Delinquency blocks good standing right away, and a company that fails to file for several years faces administrative dissolution. Filing online saves $15 a year compared with paper. DFI’s business entities FAQ covers the details.

Every Wisconsin LLC and corporation must also keep a registered agent with a Wisconsin address to receive legal papers and DFI notices. If you live outside Wisconsin, a commercial registered agent keeps that address in place and passes along reminders so your anniversary quarter does not slip by. Compare deadlines in other states in our guide to annual report filing requirements by state.

What to Do If Your Wisconsin Business Is Not in Good Standing

  1. Find the gap. Search the company in DFI’s corporate records search and note which Annual Reports are missing.
  2. Cure the delinquency. File a current Annual Report and pay the back Annual Report fees. Filing online costs $25 per report.
  3. Confirm the status. Search the record again and confirm the delinquency is cleared.
  4. Order the certificate. Order a new Certificate of Status online for $10.

A company that went years without filing and was administratively dissolved files for reinstatement with DFI. DFI’s business entity fees page lists the current filing fees, so confirm the amount there before you file. Our guide explains how to reinstate an administratively dissolved LLC step by step.

Wisconsin Tax Good Standing vs Secretary of State Certificate

Wisconsin’s Secretary of State does not keep business entity records. DFI does, and its Certificate of Status covers your company’s registration and Annual Report filings. It says nothing about taxes.

The Wisconsin Department of Revenue issues a different document, the Sales and Use Tax Clearance Certificate. Its purpose is to protect someone buying a Wisconsin business from successor liability for the seller’s unpaid sales and use tax. Request it by mail, email or fax. Details are on the Department of Revenue’s tax clearance certificate FAQ.

A bank, lender or another state wants the DFI Certificate of Status. A buyer purchasing a Wisconsin business, or the seller preparing for that sale, needs the Sales and Use Tax Clearance Certificate. In a business sale, expect to provide both.

Using a Wisconsin Certificate in Another State

When a Wisconsin company registers to do business in another state, that state’s filing office asks for a recent Certificate of Status with the application. Order it online on the day you prepare the foreign filing, since DFI emails it immediately. The receiving state then issues its own registration, called a certificate of authority in many states. Our guide on certificate of good standing vs certificate of authority explains how the two documents work together.
