In Short: Kentucky LLC Annual Report

Every Kentucky LLC files an annual report with the Kentucky Secretary of State each year between January 1 and June 30. The fee is $15 for domestic and foreign LLCs alike.

  • Who files: every Kentucky LLC and every foreign LLC authorized to transact business in Kentucky.
  • Due date: between January 1 and June 30, starting the year after the LLC was formed or registered.
  • Fee: $15.
  • Late fee: none. A missed report leads to a notice and then dissolution instead.
  • If you never file: after a notice, the LLC has 60 days to file before it is administratively dissolved. Reinstatement costs a $100 penalty plus $15 for each report owed.

Kentucky uses one statewide window for every LLC. The Secretary of State accepts annual reports from January 1 through June 30, whatever month the LLC was formed, and charges the same $15 fee to domestic and foreign LLCs.

This guide covers who files, the deadline, the fee, what the report asks for, how to file on FastTrack, and what happens to an LLC that misses June 30.

Who Must File a Kentucky LLC Annual Report?

Kentucky law (KRS 14A.6-010) requires an annual report from every entity on the Secretary of State’s records and every foreign entity authorized to transact business in the state. That covers every Kentucky LLC and every out-of-state LLC registered in Kentucky, whether it is active, dormant or has a single member. The statute lists a few exemptions, but none of them applies to LLCs.

One rule lowers the cost for some owners: a veteran-owned business organized after August 1, 2018 pays no annual report fee for its first four years, under KRS 14A.2-060.

When Is the Kentucky Annual Report Due?

The filing window opens on January 1 and closes on June 30 every year. The window is the same for every LLC, so the formation date does not move the deadline.

The first report is due in the calendar year after the LLC was formed or registered. An LLC formed in September 2026 files its first report between January 1 and June 30, 2027. An LLC formed in January 2027 files its first report between January 1 and June 30, 2028, not in its formation year.

How Much Does the Kentucky LLC Annual Report Cost?

According to the Secretary of State’s fee schedule, the annual report fee is $15 for domestic and foreign LLCs. An amended annual report also costs $15. The fee page lists no online surcharge.

No late fee, but a hard consequence

Kentucky does not add a late fee to a report filed after June 30. Instead, a missed report is grounds for administrative dissolution, and fixing a dissolution costs far more than the $15 report.

What Information Does the Kentucky Annual Report Ask For?

Under KRS 14A.6-010 and the Secretary of State’s instructions, the report confirms:

  • The LLC’s name and the state or country where it was organized.
  • The registered office address and the registered agent.
  • The principal office address.
  • The managers, for a manager-managed LLC. A first-time filer lists the names and addresses of its members or managers, and later filers confirm them.

The information must be current as of the date the report is signed. The annual report cannot change the principal office or the registered agent. Those changes need a separate Statement of Change filing.

How to File the Kentucky LLC Annual Report: Step by Step

  1. Wait for the window. Filing opens on January 1 and the on-time window closes on June 30.
  2. Open FastTrack. Go to the Secretary of State’s FastTrack annual report search and search by Organization ID or business name.
  3. Review the details. Confirm the principal office, registered agent and managers or members, and update members or managers that have changed.
  4. Pay $15. Complete the payment online.
  5. Save the confirmation. Keep a copy with the LLC’s records.

Prefer paper? Print the report and return it to the Secretary of State by mail or in person.

What Happens If You Miss the Kentucky Deadline?

A Kentucky LLC that has not filed by June 30 is in default. Under KRS 14A.7-010 and 14A.7-020, the Secretary of State mails a notice, and the LLC has 60 days from the mailing date to file the report. If it does not, the Secretary of State files a certificate of administrative dissolution. A dissolved LLC still exists, but it can only wind up its affairs.

A foreign LLC that misses its report faces revocation of its certificate of authority under the same 60-day notice rule. After revocation it must requalify by filing a new application for a certificate of authority.

Reinstating a dissolved Kentucky LLC

A domestic LLC can apply for reinstatement at any time after dissolution under KRS 14A.7-030. The cost is a $100 reinstatement penalty plus $15 for each delinquent annual report. The application needs a letter from the Kentucky Department of Revenue showing taxes are paid and, for a for-profit company, an unemployment insurance clearance. The Secretary of State requests these letters if the LLC does not supply them. Reinstatement relates back to the dissolution date, so the LLC is treated as if it had never been dissolved.

Kentucky Annual Report Tips for Non-Resident Owners

Put June 30 in your calendar as a fixed date, since it never changes. File early in the window: the report opens on January 1, and filing in the first quarter leaves time to fix a rejected filing. Keep the registered agent’s address current, because state notices go to the addresses on the LLC’s record, and a missed notice starts the 60-day clock without you.

Keep Your Kentucky LLC in Good Standing

Filing the Kentucky annual report by June 30 each year is what keeps your LLC in good standing with the Secretary of State. Banks, payment processors and new partners ask for proof of that status, and the document that shows it is a Kentucky certificate of good standing. Most missed filings trace back to one problem: the state’s reminder went to an old address. A registered agent service that scans and forwards state mail closes that gap.
