In Short: Minnesota LLC Annual Renewal

Minnesota calls its yearly LLC filing the Annual Renewal. It is filed with the Secretary of State, it costs nothing, and it is due by December 31 each calendar year.

  • Who files: every Minnesota LLC and every foreign LLC registered in Minnesota.
  • Due date: December 31 each year, starting the calendar year after the LLC was formed or registered.
  • Fee: $0 online, by mail or in person.
  • Late fee: none, but a missed renewal leads to administrative termination of the LLC.
  • If you never file: reinstatement costs $65 by mail or $85 online or in person.

Minnesota has one of the easiest yearly filings in the country. The Annual Renewal costs nothing, can be filed any day of the calendar year, and takes a few minutes online. The risk is in skipping it: the Secretary of State does not mail reminders, and an LLC that misses the renewal is administratively terminated.

This guide covers who files, the deadline, what the renewal asks for, how to file step by step, and how to reinstate an LLC that missed it.

Who Must File a Minnesota LLC Annual Renewal?

Every LLC formed in Minnesota and every foreign LLC registered to do business in Minnesota files the renewal. Minnesota Statutes section 322C.0208 applies the same rule to both: one renewal each calendar year, filed with the Secretary of State.

When Is the Minnesota Annual Renewal Due?

The renewal is due by December 31 each calendar year. You can file it any time from January 1 to December 31, and filing early in the year carries no extra cost.

The first renewal is due in the calendar year after the LLC files its articles of organization. An LLC formed in June 2026 files no renewal in 2026 and files its first one any time in 2027, by December 31, 2027. The Business Records Details page for each LLC shows its renewal due date.

How Much Does the Minnesota LLC Annual Renewal Cost?

Nothing. The Secretary of State’s fee schedule lists the Annual Renewal at $0 for domestic and foreign LLCs, whether filed online, by mail or in person. Section 322C.0208 states that no fee is required to file an annual renewal. Online filings are expedited and processed within 2 to 5 business days.

Watch for paid renewal mailers

The Secretary of State warns about private mailers that offer to file the renewal for a fee and misstate what the state charges. The state filing is free. File it yourself through the official portal or have your registered agent handle it.

What Information Does the Minnesota Annual Renewal Ask For?

The Annual Renewal form asks for:

  • The LLC’s name, and its home state name if it is a foreign LLC.
  • The registered office address and the registered agent, if the LLC has one.
  • The principal executive office address.
  • The name and business address of the manager, or of the person who acts as chief manager.
  • An email address for official notices, which is optional but worth adding.
  • Answers to a short business survey and a question on agricultural land.

Member names are not required. The renewal cannot change the LLC’s name. A name change requires an amendment.

How to File the Minnesota LLC Annual Renewal: Step by Step

  1. Sign in to Business Filings Online. Follow the Secretary of State’s renewal instructions to open Business Filings Online and sign in to your account.
  2. Find your LLC. Search by business name or file number and open “Details”.
  3. Start the renewal. Choose “File Amendment/Renewal”, then “Renewal”.
  4. Review the details. Confirm the registered office, principal executive office and manager information.
  5. Add an email address. The Secretary of State sends courtesy reminders by email only.
  6. Submit and save the filing. There is no fee. The Secretary of State emails a download link for the filed document, valid for 90 days.

To file by mail, send the Annual Renewal form to the Minnesota Secretary of State, Business Services, 332 Minnesota Street, Suite N201, Saint Paul, MN 55101. Mail filings are processed in the order received. In-person filings are by appointment.

What Happens If You Miss the Minnesota Deadline?

Minnesota charges no late fee for the renewal itself. Instead, under section 322C.0705, a Minnesota LLC that has not filed its renewal is administratively terminated, and a foreign LLC loses its authority to do business in Minnesota. The Secretary of State publishes the names of terminated LLCs.

A terminated LLC can reinstate by filing a single renewal and paying the reinstatement fee: $65 by mail or $85 online or in person. A reinstated Minnesota LLC returns to active status as of the date it was terminated. Reinstatement works only while the LLC’s name is still available, and an LLC inactive for more than six years cannot reinstate online.

Minnesota Annual Renewal Tips for Non-Resident Owners

The Secretary of State never sends renewal notices by mail. Put an email address you check on the renewal, and set your own reminder for early in the year rather than December. Keep the registered office current, because that is the address the state uses for legal notices.

Keep Your Minnesota LLC in Good Standing

Filing the Annual Renewal on time is what keeps your LLC listed as active with the state. Banks, payment processors and new partners ask for proof of that status, and the document that shows it is a Minnesota certificate of good standing. Most missed filings trace back to one problem: the state’s reminder went to an old address. A registered agent service that scans and forwards state mail closes that gap. If a deadline has already passed, our guide on what happens when you miss an annual report deadline walks through the fix, and our LLC annual report guide for every state covers the rules in other states where you are registered.
