In Short: Does a Missouri LLC File an Annual Report?
No. The Missouri Secretary of State confirms that LLCs do not file annual reports, and there is no annual fee. A Missouri LLC still has to keep its registered agent current and file amendments when key details change.
- Who files: no Missouri LLC files an annual report, and neither does a foreign LLC registered in Missouri.
- Annual fee: none.
- What to keep current: a registered agent and office, and amendments within 60 days of a change in name or management structure.
- Agent change: $10 on Form Corp. 59.
- If it lapses: an LLC without a registered agent can be administratively cancelled after a 30-day notice. Reinstatement costs $100 plus any fees and penalties owed.
Missouri is one of the few states with no annual report and no annual fee for LLCs. Missouri corporations file annual registration reports; Missouri LLCs do not.
That does not make a Missouri LLC maintenance-free. This guide covers what a Missouri LLC must keep current, what a foreign LLC must do, the penalty for missed amendments, and how cancellation and reinstatement work.

Does a Missouri LLC Need to File an Annual Report?
No. The Secretary of State’s business FAQ asks whether limited liability companies have to file an annual report and answers no, and its Small Business Startup Guide repeats that LLCs do not file annual reports with the Secretary of State. The state fee schedule lists annual registration report fees only for corporations.
Foreign LLCs registered in Missouri do not file one either.
What a Missouri LLC Must Keep Current
Registered agent and registered office
Under RSMo 347.030, a Missouri LLC must continuously keep a registered office and a registered agent in the state. To change either, it files a Statement of Change of Registered Agent and/or Registered Office (Form Corp. 59) for $10, with the new agent’s signature or written consent. The change takes effect when filed. An agent can resign; the resignation takes effect 30 days after the Secretary of State receives it, or sooner if a new agent is appointed.
Amendments to the articles
RSMo 347.041 requires an LLC to amend its articles of organization promptly, and no later than 60 days, after a change in its name, its management structure (manager-managed or member-managed) or its dissolution date. The amendment costs $25. Under RSMo 347.053, failing to file a required amendment carries a civil penalty of $10 per day, up to $1,000, which the Secretary of State can waive for reasonable cause.
State taxes
The Secretary of State’s startup guide points LLCs to the Missouri Department of Revenue to register for certain taxes. That registration is separate from the Secretary of State filings covered here.
Foreign LLCs in Missouri
A foreign LLC registers with the Secretary of State before transacting business in Missouri (RSMo 347.153). It files no annual report, but it uses Form LLC-14 ($25) to report changes such as a new name or a new state of registration, with a certificate of existence from its home state dated within 60 days. The Secretary of State’s FAQ warns that an unregistered foreign LLC cannot legally transact business or maintain a lawsuit in Missouri and faces a fine of at least $1,000.
How Much Does It Cost to Keep a Missouri LLC Current?
Nothing each year. Costs come only when something changes: $10 for a registered agent or office change, $25 for an amendment to the articles, and $10 for a certificate of good standing. Electronic payments add a convenience fee that the state does not keep.
How to Update a Missouri LLC: Step by Step
- Look up the LLC. Search the business in the Secretary of State’s business entity records to confirm its current agent and details.
- Sign in to the portal. Use the Missouri Business Services online portal; an active account is required.
- Choose the filing. Form Corp. 59 for a registered agent or office change, or an amendment to the articles for a name or management change.
- Get the new agent’s consent. A new registered agent signs or provides written consent.
- Pay and save the confirmation. Keep the filed document with the LLC’s records.
What Happens If a Missouri LLC Lets Its Agent Lapse?
RSMo 347.183 lets the Secretary of State administratively cancel an LLC that fails to keep a registered agent, fails to file required documents, fails to pay fees, or files a false statement, among other grounds. The Secretary of State notifies the LLC 30 days before the cancellation takes effect, and the LLC can cure the problem within that time. Late filing fees run at $10 for each 30-day period of delinquency.
Reinstating a cancelled Missouri LLC
A cancelled LLC applies for reinstatement by stating its name, the cancellation date and that the grounds have been removed. The statute sets a $100 reinstatement fee plus delinquent fees and penalties, and no deadline to apply. Reinstatement relates back to the cancellation date, and an LLC whose name has been taken can reinstate under a new name. The Secretary of State’s reinstatement page explains how to request the reinstatement packet online, which includes the Application for Reinstatement (Form Corp. 50AD).
Missouri Tips for Non-Resident Owners
With no annual report, no reminder arrives each year, so the registered agent’s address is the state’s only line of contact with your LLC. Use a registered agent that forwards mail promptly. File amendments within 60 days of a change in name or management, because the daily penalty adds up to $1,000. Order a certificate of good standing for $10 when a bank or partner asks for proof of status.
Keep Your Missouri LLC in Good Standing
Keeping a registered agent on file and filing amendments on time is what keeps your Missouri LLC in good standing with the Secretary of State. Banks, payment processors and new partners ask for proof of that status, and the document that shows it is a Missouri certificate of good standing. Most missed filings trace back to one problem: the state’s reminder went to an old address. A registered agent service that scans and forwards state mail closes that gap. If a deadline has already passed, our guide on what happens when you miss an annual report deadline walks through the fix, and our LLC annual report guide for every state covers the rules in other states where you are registered.
