In Short: Nevada LLC Annual List
Every Nevada LLC files an Annual List of its managers or managing members and renews its State Business License each year, on one combined form, by the last day of the month in which it was formed. The list costs $150 and the business license $200, so the yearly total is $350.
- Who files: every Nevada LLC, including professional LLCs, and every foreign LLC registered in Nevada.
- Due date: the last day of the LLC’s anniversary month each year.
- Fee: $150 for the list plus $200 for the State Business License: $350.
- Late fees: $75 on the list and $100 on the business license.
- If you never file: the LLC goes into default the day after the due date and is revoked about one year later. Reinstatement costs $300 plus all back fees and penalties.
Nevada does not call its yearly filing an annual report. Its LLCs file an Annual List of managers or members, and they renew the State Business License on the same form. The two are filed and paid together, which is why the true yearly cost of a Nevada LLC is $350, not $150.
This guide covers who files, the anniversary-month deadline, both fees and both penalties, what the list asks for, how to file in the new ORION portal, and how default, revocation and reinstatement work.

Who Must File a Nevada Annual List?
Under NRS 86.263, every Nevada LLC files a list of its managers or managing members each year. The Secretary of State’s LLC page shows the same combined Annual List and State Business License form for Nevada LLCs, professional LLCs and foreign LLCs registered in Nevada.
The Secretary of State states that the list and the business license must be filed together. You cannot file one without the other.
When Is the Nevada Annual List Due?
The list is due by the last day of the month in which the anniversary of the LLC’s formation falls. The initial list and State Business License are filed with the Articles of Organization, so the first renewal comes one year later.
- An LLC formed on March 10, 2026 files its next list by March 31, 2027.
- An LLC formed on November 3, 2025 files by November 30, 2026, then by November 30 each year.
- An LLC formed on July 28, 2024 files by July 31 every year.
The Secretary of State sends a reminder about 90 days before the due date. Under NRS 86.263, not receiving it does not excuse a penalty.
How Much Does the Nevada Annual List Cost?
Under NRS 86.263, the annual list fee is $150. The State Business License FAQ sets the business license fee at $200 for LLCs; the $500 figure applies only to corporations. Together that is $350 each year. Filing online adds no fee.
Late penalties
A list filed late carries a $75 penalty under NRS 86.272. A late State Business License renewal carries a $100 penalty, according to the Secretary of State’s FAQ.
What Information Does the Nevada Annual List Ask For?
Under NRS chapter 86, the list includes:
- The LLC’s name and its file number with the Secretary of State
- The name and title of each manager, or each managing member if the LLC has no managers
- The address of each manager or managing member
- A signature certifying the list, with a declaration under penalty of perjury
- The State Business License renewal on the same form
The list does not ask for ownership percentages or financial statements. A manager who resigned and is not shown on the list has a separate resignation filing that costs $75.
How to File the Nevada Annual List: Step by Step
- Sign in to ORION. Nevada launched the ORION Business Portal on September 14, 2026, replacing SilverFlume. The Secretary of State’s ORION page says SilverFlume logins and history moved over.
- Find your LLC. Search the business record and choose to manage it.
- Open the annual list. Choose the combined Annual List and State Business License filing.
- Update managers or members. Confirm names, titles and addresses.
- Pay $350. Add the penalties if the due date has passed.
- Save the filed list and license. A filed list with payment authorizes the LLC to do business until the end of its next anniversary month.
Paper filing by mail, fax or in person is also accepted. LLCs claiming a State Business License exemption cannot file online.
What Happens If You Miss the Nevada Deadline?
An LLC that misses the due date goes into default the next day, and the Secretary of State notifies its registered agent. Under NRS 86.274, the charter is revoked on the first day of the first anniversary of the month following the month the filing was due. The Secretary of State’s FAQ puts it plainly: after one year, entities in default go into revoked status.
Default and revocation are not reported to the Department of Taxation or to cities, so owners must notify those offices themselves.
Reinstating a revoked Nevada LLC
Under NRS 86.276, the LLC files every missed list, pays the list fee and penalty for each year or part of a year it was delinquent, and pays a $300 reinstatement fee. The Secretary of State also requires all back State Business License fees and penalties. In ORION, open the business, choose to manage it, then choose Reinstate or Revive. An LLC whose charter has been revoked for five consecutive years cannot be reinstated.
Nevada Annual List Tips for Non-Resident Owners
- Budget $350 a year, not $150. The business license renewal is mandatory.
- Use the anniversary month, not the exact day. The deadline is the last day of that month.
- Log in to ORION once to confirm your migrated account works before the deadline.
- Keep your registered agent current. The default notice goes to the agent.
Keep Your Nevada LLC in Good Standing
Filing the Annual List on time is what keeps your LLC listed as active in Nevada. Banks, payment processors and new partners ask for proof of that status, and the document that shows it is a Nevada certificate of good standing. Most missed filings trace back to one problem: the state’s reminder went to an old address. A registered agent service that scans and forwards state mail closes that gap. If a deadline has already passed, our guide on what happens when you miss an annual report deadline walks through the fix, and our LLC annual report guide for every state covers the rules in other states where you are registered.
