How much does it cost to form an LLC in New York?
The New York Department of State charges $200 to file Articles of Organization. Expedited handling costs $25 for 24 hours, $75 for same day or $150 for two hours.
New York’s publication rule is the largest formation cost for most LLCs. Under LLC Law 206, the LLC must publish a notice in two newspapers chosen by the county clerk of the county where its office is located, once a week for six consecutive weeks, all within 120 days of formation. It then files a Certificate of Publication with the Department of State for $50. The newspapers set their own rates, and those rates vary widely between counties.
Our walkthrough on how to file articles of organization in New York covers the form field by field.
How much does a New York LLC cost every year?
A New York LLC files a $9 biennial statement every two years, in the calendar month the Articles of Organization were filed. The statement updates the address for service of process and carries no late fee.
The larger recurring cost is the LLC filing fee. Every LLC taxed as a partnership, and every single-member LLC disregarded for federal tax, that has New York-source income files Form IT-204-LL and pays the fee by the 15th day of the third month after the tax year ends: 15 March for a calendar year. There is no extension.
What does a New York LLC cost over the first three years?
The table below adds up the state fees a New York LLC pays in its first three years, using the minimum amounts New York charges. The second column adds the BusinessAnywhere registered agent service, which is free for the first year and $147 a year after that.
| Year | State fees only | With a registered agent service |
|---|---|---|
| Year 1 | $250 | $250 |
| Year 2 | $25 | $172 |
| Year 3 | $34 | $181 |
| Three-year total | $309 | $603 |
Year 1 counts the $200 formation fee and the $50 Certificate of Publication, not the newspaper charges, which vary by county. Years 2 and 3 include the $25 minimum LLC filing fee, and year 3 adds the first $9 biennial statement.
Does New York charge a franchise tax or income tax on LLCs?
New York charges an annual LLC filing fee of $25 to $4,500, based on the LLC’s New York-source gross income for the previous year. Income up to $100,000 pays $25, up to $250,000 pays $50, up to $500,000 pays $175, up to $1 million pays $500, up to $5 million pays $1,500, up to $25 million pays $3,000, and above that $4,500.
A single-member disregarded LLC with New York-source income pays the flat $25. An LLC with no New York-source income, or one taxed as a corporation, does not pay this fee. Members still pay New York income tax on their share of the profit, and New York City adds its own taxes for businesses there.
How much does a registered agent cost in New York?
New York does not require an LLC to appoint a registered agent: the Articles of Organization designate the Secretary of State as agent for service of process, and the state forwards legal papers to the address the LLC lists. That address goes on the public record. An LLC can also name a registered agent with a New York street address, and commercial registered agent services charge a yearly fee for the role.
The BusinessAnywhere registered agent service is free for the first year and $147 a year after that, with every document scanned to your online dashboard the day it arrives.

Does a New York LLC need an EIN, and what does it cost?
An EIN costs nothing when you apply directly with the IRS. A New York LLC needs one to hire employees, to open a business bank account and whenever it has more than one member. US residents with an SSN or ITIN apply through the IRS online EIN application and receive the number at the end of the session.
Founders outside the United States cannot use the online tool. They apply by phone, fax or post with IRS Form SS-4, and do not need an SSN to do it. The BusinessAnywhere EIN application service handles that process for $97. Our guide on how to obtain an EIN for your LLC covers both routes.
What other New York LLC fees should you budget for?
These fees apply only when you need the service. They are the New York state charges as of October 2026.
| Item | Fee | Notes |
|---|---|---|
| Name reservation | $20 | Reservation of Name |
| Expedited filing | $25 (24 hr), $75 (same day), $150 (2 hr) | Per document, on top of filing fee; not available for biennial statements |
| Certificate of good standing | $25 | Certificate of Status (NY does not use the term good standing) |
| Certified copy | $10 | Certified copy of filed document; uncertified $5 |
| Amending the articles | $60 | Certificate of Amendment |
| DBA (assumed or trade name) | $25 | Certificate of Assumed Name filed with the Department of State |

| Foreign LLC registration | $250 | Application for Authority; foreign LLCs also publish and pay the $50 Certificate of Publication fee |
An operating agreement carries no state fee in New York, and New York does not collect it, but every LLC should have one to set out ownership and decision rights. BusinessAnywhere sells an operating agreement template for $97.
What happens if you miss a New York LLC deadline?
An LLC that does not publish within 120 days loses its authority to carry on business in New York. The suspension lifts once the LLC files its Certificate of Publication, so a late publication costs the same as an on-time one plus the period of suspension.
A late biennial statement has no fee, but the LLC shows as past due on the state’s records and on any Certificate of Status, which banks and counterparties check. A late IT-204-LL filing fee carries penalties and interest from the Department of Taxation and Finance.
If you intend to close the business, file formally instead of letting it lapse. Our guide on how to dissolve an LLC in New York sets out the steps.
How does New York compare with other states?
New York is expensive to form in and cheap to keep. The $200 formation fee is double the $100 national median, and publication adds more in the counties with the highest newspaper rates. After that, $9 every two years plus a $25 filing fee is less than most states charge.
| State | Formation fee | Yearly state fees (minimum) | What drives the cost |
|---|---|---|---|
| New York | $200 | $29.50 | $200 to form plus publication, $9 statement and $25 minimum filing fee |
| New Jersey LLC cost | $100 | $75 | $100 to form, $75 annual report |
| Connecticut LLC cost | $120 | $80 | $120 to form, $80 annual report |
| Pennsylvania LLC cost | $125 | $7 | $125 to form, $7 annual report |
| Delaware LLC cost | $110 | $400 | $400 flat annual tax due 1 June |
| Wyoming LLC cost | $100 | $60 | $60 minimum license tax, no income tax |
