Our walkthrough on how to file articles of organization in Connecticut covers the form field by field.
How much does a Connecticut LLC cost every year?
Every Connecticut LLC files an $80 annual report between 1 January and 31 March. The window is fixed for every LLC; it does not follow the formation anniversary. The first report is due in the calendar year after formation.
The Secretary of the State emails a reminder about a month before the window closes, but the deadline applies whether or not the reminder arrives.
What does a Connecticut LLC cost over the first three years?
The table below adds up the state fees a Connecticut LLC pays in its first three years, using the minimum amounts Connecticut charges. The second column adds the BusinessAnywhere registered agent service, which is free for the first year and $147 a year after that.
| Year | State fees only | With a registered agent service |
|---|---|---|
| Year 1 | $120 | $120 |
| Year 2 | $80 | $227 |
| Year 3 | $80 | $227 |
| Three-year total | $280 | $574 |
Does Connecticut charge a franchise tax or income tax on LLCs?
Connecticut no longer charges LLCs the $250 Business Entity Tax. Public Act 19-117 ended it for tax periods beginning after 31 December 2018, so older guides that list it are out of date.
Profit from an LLC taxed as a partnership passes through to the members, who pay Connecticut income tax on their share, and the LLC can elect to pay the Connecticut pass-through entity tax at the entity level. An LLC that elects corporate treatment pays Connecticut corporation business tax.
How much does a registered agent cost in Connecticut?
Every Connecticut LLC must name a registered agent with a physical street address in Connecticut. Acting as your own agent costs nothing, but your address goes on the public record and you must be available at that address during business hours. Commercial registered agent services charge a yearly fee for the same role.
The BusinessAnywhere registered agent service is free for the first year and $147 a year after that, with every document scanned to your online dashboard the day it arrives.

Does a Connecticut LLC need an EIN, and what does it cost?
An EIN costs nothing when you apply directly with the IRS. A Connecticut LLC needs one to hire employees, to open a business bank account and whenever it has more than one member. US residents with an SSN or ITIN apply through the IRS online EIN application and receive the number at the end of the session.
Founders outside the United States cannot use the online tool. They apply by phone, fax or post with IRS Form SS-4, and do not need an SSN to do it. The BusinessAnywhere EIN application service handles that process for $97. Our guide on how to obtain an EIN for your LLC covers both routes.
What other Connecticut LLC fees should you budget for?
These fees apply only when you need the service. They are the Connecticut state charges as of October 2026.
| Item | Fee | Notes |
|---|---|---|
| Name reservation | $60 | Application for Reservation of Name |
| Expedited filing | $50 per transaction | Online only; not available for long-form certificates |
| Certificate of good standing | $50 short form, $100 long form | Certificate of Legal Existence |
| Certified copy | $55 per document | Plain copy $40 |
| Amending the articles | $120 | Certificate of Amendment |
| DBA (assumed or trade name) | No state fee | Trade names are registered with the town clerk, not the Secretary of the State |
| Changing registered agent | $50 | Change of Agent (also $50 for change of agent’s address) |
| Foreign LLC registration | $120 | Foreign Registration Statement |
| Reinstatement after dissolution | $120 (includes annual report) | Combined Certificate of Reinstatement and Annual Report |
An operating agreement carries no state fee in Connecticut, and Connecticut does not collect it, but every LLC should have one to set out ownership and decision rights. BusinessAnywhere sells an operating agreement template for $97.
What happens if you miss a Connecticut LLC deadline?
Connecticut lists no late fee, but an LLC that goes more than a year without filing its annual report can be administratively dissolved under CGS 34-267g, after the state mails a notice of intent.
Reinstatement costs $120 on a combined Certificate of Reinstatement and Annual Report. The LLC keeps its original formation date. Filing reinstatement online requires a registered agent with a Connecticut address.
If you intend to close the business, file formally instead of letting it lapse. Our guide on how to dissolve an LLC in Connecticut sets out the steps.
How does Connecticut compare with other states?

|---|---|---|---|
| Connecticut | $120 | $80 | $120 to form, $80 annual report |
| New York LLC cost | $200 | $29.50 | $200 to form plus publication, $9 statement and $25 minimum filing fee |

| Rhode Island LLC cost | $150 | $450 | $50 annual report plus $400 annual charge |
| New Jersey LLC cost | $100 | $75 | $100 to form, $75 annual report |
