How much does it cost to form an LLC in Oregon?
The Oregon Secretary of State charges $100 to file Articles of Organization for an LLC. The fee is a nonrefundable processing fee, and Oregon lists no expedite option on its fee schedule.
A name reservation also costs $100 and holds the name for 120 days, which makes reserving a name as expensive as forming the LLC.
Our walkthrough on how to file articles of organization in Oregon covers the form field by field.
How much does an Oregon LLC cost every year?
Every Oregon LLC files an annual report for $100 on the anniversary of its original filing. The first report is due on the first anniversary, and the state sends a notice about 45 days before.
The $100 renewal matches the formation fee, so an Oregon LLC costs the same every year as it did to start. A foreign LLC pays $275 to register and $275 a year to renew, close to three times the domestic rate.
What does an Oregon LLC cost over the first three years?
The table below adds up the state fees an Oregon LLC pays in its first three years, using the minimum amounts Oregon charges. The second column adds the BusinessAnywhere registered agent service, which is free for the first year and $147 a year after that.
| Year | State fees only | With a registered agent service |
|---|---|---|
| Year 1 | $100 | $100 |
| Year 2 | $100 | $247 |
| Year 3 | $100 | $247 |
| Three-year total | $300 | $594 |
Does Oregon charge a franchise tax or income tax on LLCs?
Oregon has no franchise tax on LLCs, but its Corporate Activity Tax (CAT) covers every type of business, LLCs included. A business registers for the CAT once it reaches $750,000 of Oregon commercial activity and files once it passes $1 million. The tax is $250 plus 0.57% of taxable commercial activity above $1 million, after a 35% subtraction for certain expenses.
Below $1 million of Oregon commercial activity, an LLC owes no CAT. Members pay Oregon personal income tax on their share of profit, at rates from 4.75% to 9.9%.
How much does a registered agent cost in Oregon?
Every Oregon LLC must name a registered agent with a physical street address in Oregon. Acting as your own agent costs nothing, but your address goes on the public record and you must be available at that address during business hours. Commercial registered agent services charge a yearly fee for the same role.
The BusinessAnywhere registered agent service is free for the first year and $147 a year after that, with every document scanned to your online dashboard the day it arrives.

Does an Oregon LLC need an EIN, and what does it cost?
An EIN costs nothing when you apply directly with the IRS. An Oregon LLC needs one to hire employees, to open a business bank account and whenever it has more than one member. US residents with an SSN or ITIN apply through the IRS online EIN application and receive the number at the end of the session.
Founders outside the United States cannot use the online tool. They apply by phone, fax or post with IRS Form SS-4, and do not need an SSN to do it. The BusinessAnywhere EIN application service handles that process for $97. Our guide on how to obtain an EIN for your LLC covers both routes.
What other Oregon LLC fees should you budget for?
These fees apply only when you need the service. They are the Oregon state charges as of October 2026.
| Item | Fee | Notes |
|---|---|---|
| Name reservation | $100 | Holds the name for 120 days; optional confirmation copy $5. |
| Certificate of good standing | $10 | Certificate of Existence, ordered online by credit card. |
| Certified copy | $15 | Certified copy of the document file or a specific document. |
| Amending the articles | $100 | Articles of Amendment (domestic); $275 for foreign amendments. |
| DBA (assumed or trade name) | $50 | Assumed Business Name registration, valid 2 years. |
| Changing registered agent | $0 | Change of Registered Agent/Address (Corp/LLC) or amendment to annual report, no fee. |
| Foreign LLC registration | $275 | Application for Authority; annual renewal also $275. |
An operating agreement carries no state fee in Oregon, and Oregon does not collect it, but every LLC should have one to set out ownership and decision rights. BusinessAnywhere sells an operating agreement template for $97.
What happens if you miss an Oregon LLC deadline?
Oregon publishes no fixed late fee for the annual report, but a missed report is grounds for administrative dissolution. The LLC has 45 days after the Secretary of State’s notice to file and pay before it is dissolved.
A dissolved LLC can reinstate within five years by paying a reinstatement fee plus every annual fee it missed. A certificate of existence is available only to an LLC that has filed an annual report in the previous 14 months.
If you intend to close the business, file formally instead of letting it lapse. Our guide on how to dissolve an LLC in Oregon sets out the steps.
How does Oregon compare with other states?
Oregon sits at the national median to form and above it to keep. The $100 formation fee matches the $100 median, but the $100 annual report costs more each year than Washington’s $70 report, and both cost more than Montana’s free report.
| State | Formation fee | Yearly state fees (minimum) | What drives the cost |
|---|---|---|---|
| Oregon | $100 | $100 | $100 to form, $100 annual report |
| Washington LLC cost | $180 | $70 | $180 to form, $70 annual report |
| California LLC cost | $70 | $800 | $800 annual tax from year one |
| Nevada LLC cost | $425 | $350 | $200 business license every year |
| Montana LLC cost | $35 | $0 | Cheapest formation fee; free annual report if filed by 15 April |
| Wyoming LLC cost | $100 | $60 | $60 minimum license tax, no income tax |
