In Short: Oregon LLC Annual Report
Every Oregon LLC files an annual report, which the Oregon Secretary of State’s Corporation Division also calls a renewal, by the anniversary of its original filing date. The fee is $100 for an Oregon LLC and $275 for a foreign LLC.
- Who files: every Oregon LLC and every foreign LLC registered in Oregon.
- Due date: the anniversary of the date the articles of organization or the application for authority were filed.
- Fee: $100 for an Oregon LLC, $275 for a foreign LLC, with no extra fee for filing online.
- Late fee: none listed on the Corporation Division fee schedule.
- If you never file: after written notice, the LLC has 45 days to correct the problem before the state dissolves it. Reinstatement is available within five years.
Oregon ties the annual report to each LLC’s own calendar. The due date is the anniversary of the original filing, and the Corporation Division mails a renewal notice about 45 days before it.
This guide covers who files, how the anniversary date works, the fees, what the renewal asks for, how to file online, and what happens to an LLC that does not renew.

Who Must File an Oregon LLC Annual Report?
Every LLC formed in Oregon and every foreign LLC authorized to transact business in Oregon renews each year. The Secretary of State’s FAQ states that all business entity types renew annually, and only assumed business names renew on a two-year cycle.
The renewal is due whether the LLC is active, dormant or has a single member.
When Is the Oregon Annual Report Due?
The Corporation Division states that the renewal is due on the anniversary date of the original filing. Oregon law (ORS 63.001) defines the anniversary as the same day each year as the filing date of the articles of organization or, for a foreign LLC, the application for authority.
The first renewal is due one year after the original filing. An LLC whose articles were filed on August 12, 2026 renews by August 12, 2027, and by August 12 every year after that.
The Corporation Division mails a renewal notice about 45 days before the due date, and it offers electronic renewal notices for owners who prefer email.
How Much Does the Oregon LLC Annual Report Cost?
According to the Corporation Division’s Business Registry fee schedule, the annual renewal is $100 for an Oregon LLC and $275 for a foreign LLC. An amendment to an annual report costs nothing, and filing online adds no extra fee.
Watch for lookalike notices
The Secretary of State warns about private companies that mail solicitations designed to look like official renewal notices and charge more than the state fee. Official notices come from the Secretary of State Corporation Division, and the state fee for an Oregon LLC is $100.
What Information Does the Oregon Annual Report Ask For?
The renewal form lists these items:
- A daytime contact name and phone number, which are not made public.
- A business email address, also kept private.
- A mailing address for notices, which can be a P.O. box.
- A brief description of the LLC’s primary activity.
- The principal place of business. A foreign LLC’s principal place of business can be outside Oregon.
- The registered agent, only if it is changing. The agent needs an Oregon street address, not a P.O. box, a commercial mail receiving agency, a mail forwarding business or a virtual office.
- The name and address of at least one member or manager, when none is on record. This becomes public.
The business name cannot be changed on a renewal. Complete only the sections that are changing.
How to File the Oregon LLC Annual Report: Step by Step
- Watch for the notice. The Corporation Division sends it about 45 days before your anniversary date.
- Open the online renewal. Go to the Oregon Business Registry renewal page, choose Start Renewal, and enter your email and the LLC’s Oregon Registry Number.
- Update the details. Review the mailing address, principal place of business, activity description and members or managers.
- Pay the fee. Pay $100, or $275 for a foreign LLC, by credit card.
- Save the confirmation. The Corporation Division emails a confirmation once the renewal is filed.
Prefer paper? Print the renewal form from the LLC’s Business Registry listing, which shows the link only when the renewal is due, and mail it with payment.
What Happens If an Oregon LLC Does Not Renew?
Failing to file the annual report or pay the fee when due is grounds for administrative dissolution under ORS 63.647. Under ORS 63.651, the Secretary of State sends written notice, and the LLC has 45 days after the notice to correct the problem or show that it does not exist. If it does neither, the Secretary of State dissolves the LLC. A dissolved LLC continues to exist only to wind up and liquidate its business.
A dissolved LLC shows as inactive and cannot be renewed in the normal way. Oregon also issues a certificate of existence only to an LLC that filed an annual report within the preceding 14 months (ORS 63.027).
Reinstating a dissolved Oregon LLC
An LLC can apply for reinstatement within five years of the dissolution date under ORS 63.654. The Secretary of State’s reinstatement page requires a reinstatement fee plus the missed annual fees, and the LLC’s name must still be available. LLCs under the five-year mark can reinstate online or on a paper form. Beyond five years, special forms and documentation are required, and the Secretary of State can waive the time limit for an LLC that kept operating. Reinstatement is retroactive to the dissolution date.
Oregon Annual Report Tips for Non-Resident Owners
Note your original filing date, since its anniversary is your deadline every year. Sign up for electronic renewal notices so the reminder reaches you wherever you are. Check that your registered agent has a real Oregon street address: Oregon does not accept P.O. boxes, mail forwarding businesses or virtual offices for that role.
Keep Your Oregon LLC in Good Standing
Renewing by your anniversary date each year is what keeps your Oregon LLC active with the Corporation Division. Banks, payment processors and new partners ask for proof of that status, and the document that shows it is a Oregon certificate of good standing. Most missed filings trace back to one problem: the state’s reminder went to an old address. A registered agent service that scans and forwards state mail closes that gap. If a deadline has already passed, our guide on what happens when you miss an annual report deadline walks through the fix, and our LLC annual report guide for every state covers the rules in other states where you are registered.
