In Short: Pennsylvania LLC Annual Report

Pennsylvania started requiring annual reports in 2025, replacing its old decennial report. Every LLC files with the Pennsylvania Department of State, Bureau of Corporations and Charitable Organizations, between January 1 and September 30.

  • Who files: every Pennsylvania LLC and every foreign LLC registered in Pennsylvania.
  • Due date: between January 1 and September 30, starting the year after formation or registration.
  • Fee: $7.
  • Enforcement: starting with reports due in 2027, LLCs that do not file are dissolved or terminated six months after the due date.
  • Reinstatement: $35 online or $40 on paper, plus $15 for each missing report. Foreign LLCs cannot reinstate.

Pennsylvania is new to annual reports. Act 122 of 2022 replaced the old once-a-decade report with an annual one, beginning January 1, 2025. The report is short and the fee is only $7, but the state has set a date when skipping it starts to cost the LLC its existence.

This guide covers who files, the September 30 deadline for LLCs, the fee, what the report asks for, how to file online, and what changes when enforcement begins with 2027 reports.

Who Must File a Pennsylvania LLC Annual Report?

Every LLC formed in Pennsylvania and every foreign LLC registered in Pennsylvania files the annual report, according to the Department of State’s annual reports page. Corporations, limited partnerships, LLPs and other registered entities file too, each with its own due date. Fictitious names and general partnerships that are not LLPs do not.

When Is the Pennsylvania Annual Report Due?

Domestic and foreign LLCs file between January 1 and September 30 each year. Corporations and other entity types have different deadlines, so check the entity type if you own more than one.

The first annual report is due the year after the LLC is formed in Pennsylvania or first registers as a foreign LLC.

  • An LLC formed on April 8, 2026 files its first report between January 1 and September 30, 2027.
  • A Delaware LLC that registered in Pennsylvania in November 2026 also files its first report in 2027.

How Much Does the Pennsylvania LLC Annual Report Cost?

The fee is $7 for LLCs. LLCs organized for a not-for-profit purpose pay $0. The Department’s page lists no separate fee for foreign LLCs and no late fee.

What Information Does the Pennsylvania Annual Report Ask For?

  • The LLC’s name and Pennsylvania entity number.
  • The jurisdiction where the LLC was formed.
  • The registered office address.
  • The principal office address.
  • At least one governor of the LLC.
  • The names and titles of principal officers, if the LLC has any.

How to File the Pennsylvania LLC Annual Report: Step by Step

  1. Find your entity number. Search the LLC on the Department of State’s business search.
  2. Log in to Business Filing Services. Go to file.dos.pa.gov and create an account if you need one. Online filing is the Department’s preferred method.
  3. Choose the annual report. Select the LLC and start the annual report.
  4. Confirm the addresses and governor. Enter the registered office, principal office and at least one governor.
  5. Pay $7.
  6. Save the filed report. File between January 1 and September 30.

Paper reports on form DSCB:15-146 are accepted too. The Department date stamps them on receipt and returns them by mail.

What Happens If a Pennsylvania LLC Does Not File?

The Department of State has set the start date for enforcement: beginning with annual reports due in 2027, entities that fail to file are subject to administrative dissolution, termination or cancellation six months after the due date. For an LLC, that means a 2027 report not filed by September 30, 2027 puts the LLC at risk of dissolution six months later.

A domestic LLC that is dissolved loses exclusive rights to its name and cannot get a subsistence certificate, Pennsylvania’s proof of good standing. A foreign LLC whose registration is terminated cannot fix it by reinstating: it files a new foreign registration statement and receives a new entity number.

Reinstating a Pennsylvania LLC

A domestic LLC files an Application for Reinstatement. The fee is $35 online or $40 on paper, plus $15 for each missing annual report, and the application includes current annual report information.

Pennsylvania Annual Report Tips for Non-Resident Owners

File every year now, even before enforcement begins in 2027, so your record stays clean. September 30 is the LLC deadline, not the corporate one, so do not rely on a date you saw for a corporation. Keep the registered office current, since Pennsylvania sends notices there.

Keep Your Pennsylvania LLC in Good Standing

Filing the Pennsylvania annual report by September 30 each year keeps your LLC’s record current with the Department of State. Banks, payment processors and new partners ask for proof of that status, and the document that shows it is a Pennsylvania certificate of good standing. Most missed filings trace back to one problem: the state’s reminder went to an old address. A registered agent service that scans and forwards state mail closes that gap. If a deadline has already passed, our guide on what happens when you miss an annual report deadline walks through the fix, and our LLC annual report guide for every state covers the rules in other states where you are registered.
