How a Pennsylvania LLC Stays in Good Standing
Pennsylvania requires an annual report starting in 2025. The rules:
- LLCs: due September 30 each year.
- Business corporations: due June 30 each year.
- Filing window: opens January 1.
- Fee: $7 for business corporations and LLCs.
Enforcement starts with reports due in 2027. An entity that misses its 2027 annual report faces administrative action six months after the due date. A domestic entity is administratively dissolved and loses the exclusive right to its name.

- Gather current annual report information for the entity.

Pennsylvania Tax Good Standing vs Secretary of State Certificate
The Subsistence Certificate comes from the Department of State and confirms your entity’s legal existence. It says nothing about taxes.
The Pennsylvania Department of Revenue issues a separate Tax Clearance Certificate (Form REV-181). It is required for dissolution, revival, certain mergers and divisions, and termination of authority for a foreign entity. It is not what a bank asks for when it wants proof of good standing.
