In Short: Washington LLC Annual Report

Washington LLCs file two kinds of reports with the Secretary of State: a $10 initial report within 120 days of forming, then a $70 annual report every year by the end of the month they were formed.

  • Who files: every Washington LLC and every foreign LLC registered in Washington.
  • Initial report: $10, due within 120 days after the LLC is formed or registered.
  • Annual report: $70, due by the last day of the formation month each year. It can be filed up to 180 days early.
  • Late: a $25 delinquency fee, for $95 total.
  • If you never file: a domestic LLC is dissolved about four months after the delinquency notice. Reinstatement costs $140 plus every missed report.

Washington’s Secretary of State calls the annual report deadline your expiration date, and the word fits: an LLC that lets it pass becomes delinquent, and one that stays delinquent is dissolved. Filing is handled entirely through the Corporations and Charities Filing System, known as CCFS.

This guide covers the initial report, the annual deadline, the fee, what CCFS asks for, step-by-step filing, and how to return a dissolved LLC to active status.

Who Must File a Washington LLC Annual Report?

Every LLC formed in Washington and every foreign LLC registered to do business there files an annual report. The report updates the registered agent, principal office and governors on the state’s record, so the duty applies whether or not the LLC is operating.

The Washington Initial Report

Before the first annual report comes the initial report. Under RCW 23.95.255, an LLC files an initial report within 120 days after its formation documents take effect. The fee is $10. Many filers submit it with the certificate of formation so it is done on day one. The first annual report then falls due on the LLC’s first expiration date.

When Is the Washington Annual Report Due?

The annual report is due by the LLC’s expiration date, which is the last day of the month the LLC was first formed. An LLC formed in July has a July 31 expiration date every year. According to the Secretary of State’s filing instructions, the report can be filed up to 180 days before that date, and the office sends a reminder 30 to 90 days ahead.

How Much Does the Washington Annual Report Cost?

The Secretary of State’s fee schedule lists the annual report for profit entities, including LLCs, at $70, with the online processing fee included. Optional expedited service adds $100. Correcting a filed report through an amended annual report costs $10.

An LLC that files after its expiration date is in delinquent status and pays a $25 delinquency fee on top, for $95 total.

What Information Does the Annual Report Ask For?

  • The registered agent, with a Washington physical street address. P.O. boxes are not accepted.
  • The principal office street address and an email address.
  • The governors, meaning the members or managers, by name.
  • The nature of the business.
  • Answers to the controlling interest questions about transfers of real property interests.
  • The name of the person filing, who attests to the information under penalty of law.

How to File the Washington LLC Annual Report: Step by Step

  1. Sign in to CCFS, the Corporations and Charities Filing System.
  2. Choose Business Maintenance Filings, then Annual Report. Search for the LLC by its UBI number or name.
  3. Review each section: registered agent, principal office, governors and nature of business. Update anything that changed.
  4. Answer the controlling interest questions. They default to No; read them before you continue.
  5. Attest, add to cart and pay $70. Save the filed report.

Uploading documents beyond what the filing requires slows acceptance, so attach nothing unless CCFS asks for it.

What Happens If You Miss the Expiration Date?

After the expiration date the LLC is delinquent. A domestic LLC then has 120 days from the date of the delinquency notice to file the past-due report with the $25 delinquency fee. If it does not, the Secretary of State administratively dissolves it. A foreign LLC has 90 days from the notice, after which its Washington registration is terminated.

A dissolved LLC can be reinstated within five years of administrative dissolution. The fee is $140 plus every annual report fee it missed.

Keep Your Washington LLC in Good Standing

Filing the LLC Annual Report on time is what keeps your LLC listed as active with the state. Banks, payment processors and new partners ask for proof of that status, and the document that shows it is a Washington certificate of good standing. Most missed filings trace back to one problem: the state’s reminder went to an old address. A registered agent service that scans and forwards state mail closes that gap. If a deadline has already passed, our guide on what happens when you miss an annual report deadline walks through the fix, and our LLC annual report guide for every state covers the rules in other states where you are registered.
