What an Ohio Certificate of Good Standing Is

An Ohio Certificate of Good Standing is an official document from the Ohio Secretary of State, Business Services Division, confirming that your LLC or corporation exists on the state’s records and has not been canceled. Ohio also issues this certification under the names Full Force and Effect Certificate and Certificate of Registration.

How an Ohio LLC Stays in Good Standing

Ohio’s rules are short:

  • No annual report: Ohio LLCs and for-profit corporations file no annual or biennial report. Regular reports apply only to professional associations, LLPs, nonprofits and name registrations.
  • Statutory agent: Ohio calls its registered agent a statutory agent. Every Ohio LLC and corporation must keep one on record with the Secretary of State.
  • Agent updates: when your statutory agent or its address changes, file the update with Form 521 ($25).
  • Cancellation: failing to keep a statutory agent on record and file updates can result in cancellation of the entity.

With no annual report to miss, a lapsed statutory agent is the main way an Ohio LLC loses its status. What to Do If Your Ohio Business Is Not in Good Standing

An Ohio entity canceled for a statutory agent failure can be reinstated within two years.

  1. Search the entity at cogs.ohiosos.gov and confirm it shows as canceled.
  2. Appoint a statutory agent.
  3. File Form 525A, the reinstatement filing, with the $25 fee.
  4. Once the record shows the entity as active, order a new Certificate of Good Standing for $5.00.

Ohio Tax Good Standing vs Secretary of State Certificate

The Secretary of State certificate confirms your entity’s registration status. It does not address taxes. The Ohio Department of Taxation issues a Certificate of Tax Clearance, but only when an entity dissolves, surrenders its registration or merges. Request it with Form D5, Notification of Dissolution or Surrender, using the Certificate of Tax Clearance method. The Department issues it only after every tax administered by the Tax Commissioner is filed and paid. Submit the D5 30 days before you file the dissolution or surrender with the Secretary of State.
