What an Oregon Certificate of Good Standing Is

Oregon does not issue a document titled “Certificate of Good Standing.” Its equivalent is the Certificate of Existence, which the Corporation Division describes as similar to a Certificate of Good Standing. The paper request form groups it with the Certificate of Status, and both carry the same fee.

The Certificate of Existence proves that your LLC or corporation is registered with the Oregon Business Registry and active on the state’s records. An active record means the business has filed its annual reports and has not been administratively dissolved.

You need an Oregon Certificate of Existence when you deal with:

  • Other states: registering your Oregon company as a foreign entity.

  2. Search for your business by name or registry number.
  3. Select your business and choose Certificate of Existence.
  4. Pay the $10 fee by credit card.

To order on paper, complete the Request for Certificate (Form 302) and send it to the Corporation Division by mail or fax, or bring it in person. Paper requests cost $10 per certificate and are processed in the order received, 5 to 10 business days after receipt. Use the paper form in these cases:

How to Check Oregon Good Standing Status for Free

The Oregon Business Registry name search is free. Enter your business name or registry number to see its current status. An active status means the Corporation Division will issue a Certificate of Existence.

How an Oregon LLC Stays in Good Standing

Oregon calls its yearly filing the annual report, or renewal. It is due on the anniversary date of your original filing, and the Corporation Division sends notices 45 days before the due date. The fees on the Business Registry fee schedule:

  • Domestic LLC: $100 per year
  • Domestic business corporation: $275 per year

The Corporation Division administratively dissolves a business that fails to file its annual report. Once dissolved, the business cannot get a Certificate of Existence until it reinstates.

What to Do If Your Oregon Business Is Not in Good Standing

Oregon lets a dissolved business reinstate if it was dissolved less than five years ago and its name is still available. LLCs and corporations can reinstate online. The steps:

  1. Search the business in the free Business Registry search and confirm the dissolution date.
  2. Confirm the business name is still available.
  3. File the reinstatement application online through the Business Registry.
  4. Pay the reinstatement fee plus every missed annual fee.
  5. Once the record shows active, order your Certificate of Existence.

Oregon Tax Good Standing vs Secretary of State Certificate

The Certificate of Existence comes from the Secretary of State and covers your business registration only. It does not show whether you are current on Oregon taxes.

For tax status, the Oregon Department of Revenue issues a separate Tax Compliance Certification (Form OR-TCC). A buyer, lender or government contract can ask for one in addition to the Certificate of Existence. Request it through the Department of Revenue’s tax compliance page. Ask the requesting party which document they need, because one does not replace the other.
