Who Must File a Connecticut LLC Annual Report?

Section 34-247k of the Connecticut General Statutes requires an annual report from every Connecticut LLC and every registered foreign LLC. Every entity on record files unless it has filed a dissolution, withdrawal, revocation or cancellation.

An LLC with no revenue still files. An LLC that is dissolving does not need to file a final annual report.

When Is the Connecticut Annual Report Due?

The first annual report is due between January 1 and March 31 of the year after the LLC was formed or registered, and every year after that in the same window. An LLC formed in October 2026 files its first report between January 1 and March 31, 2027.

Before 2018, Connecticut reports were due in each LLC’s anniversary month, so guides written before then show a rule that no longer applies.

The Secretary of the State emails reminders when reports are due, so the email address on record matters.

How Much Does the Connecticut LLC Annual Report Cost?

The annual report fee is $80 for domestic and foreign LLCs, under Section 34-243u and the Secretary of the State’s annual report fee page. The fee rose from $20 to $80 for report years beginning on or after July 1, 2020, so older guides with a $20 fee are out of date. An amended annual report costs $25. Payment is by Mastercard, Visa, Discover or American Express.

No late fee

The Secretary of the State’s annual report FAQ answers the question directly: there is no additional fee or penalty when a report is filed after its due date. The cost of falling behind comes from forfeiture, not penalties.

The $250 Business Entity Tax that older guides mention no longer exists. Connecticut ended it for tax periods beginning after December 31, 2018.

What Information Does the Connecticut Annual Report Ask For?

Under Section 34-247k and the Secretary of the State’s FAQ, the report asks for:

  • The LLC’s name.
  • The principal office address, which cannot be a P.O. box, and a mailing address.
  • A valid email address.
  • The name, title, business address and residence address of at least one member or manager.
  • The NAICS code for the LLC’s business.
  • For a foreign LLC, any alternate name used in Connecticut and its home jurisdiction.

The registered agent and the business name cannot be changed on the annual report. Those changes need separate filings.

How to File the Connecticut LLC Annual Report: Step by Step

  1. Create a Business.CT.gov account. Online filing requires a login.
  2. Open the annual report filing. Follow the link on the annual report forms and fees page between January 1 and March 31.
  3. Review the details. Confirm the principal office, mailing address, email and at least one member or manager.
  4. Add the NAICS code. Enter the six-digit code that describes the LLC’s business.
  5. Pay $80. Pay by card.
  6. Save the confirmation. Keep a copy with the LLC’s records.

Connecticut accepts annual reports online only. There is no paper option.

What Happens If You Miss the Connecticut Deadline?

A late report alone carries no penalty, but a delinquent LLC cannot obtain a Certificate of Legal Existence, which is Connecticut’s proof of good standing.

Once an LLC is more than one year in default, Section 34-267g lets the Secretary of the State begin dissolution by forfeiture. Since January 1, 2025, the notice goes by email to the address on record, not by mail. The Secretary of the State’s forfeiture timeline gives the LLC 90 days from the notice to file all past-due reports. If it does not, a certificate of dissolution by forfeiture is filed, the LLC’s status becomes forfeited, and its name becomes available to others.

A foreign LLC in the same position has its registration revoked. Its status in its home state is unaffected.

Reinstating a forfeited Connecticut LLC

A forfeited LLC files a Combined Certificate of Reinstatement and Annual Report. The $120 fee includes the annual report. The form requires a six-digit NAICS code, and if another business has taken the name, a Certificate of Amendment must be filed with it. An LLC dissolved by court decree cannot be reinstated this way. A revoked foreign LLC that still does business in Connecticut registers again as a foreign LLC.

Connecticut Annual Report Tips for Non-Resident Owners

Use an email address you check: Connecticut sends both reminders and forfeiture notices by email. File in January or February to stay clear of the March 31 deadline. If you own LLCs in several states, Connecticut’s fixed window makes it one of the easier deadlines to track.

Keep Your Connecticut LLC in Good Standing

Filing the Connecticut annual report between January 1 and March 31 each year is what keeps your LLC in good standing with the Secretary of the State. Banks, payment processors and new partners ask for proof of that status, and the document that shows it is a Connecticut certificate of good standing. Most missed filings trace back to one problem: the state’s reminder went to an old address. A registered agent service that scans and forwards state mail closes that gap. If a deadline has already passed, our guide on what happens when you miss an annual report deadline walks through the fix, and our LLC annual report guide for every state covers the rules in other states where you are registered.
