Who Must File a South Dakota LLC Annual Report?

Every South Dakota LLC and every foreign LLC authorized to transact business in South Dakota files an annual report, under SDCL 47-34A-211 and SDCL 59-11-24. The report is due whether the LLC is active, dormant or has a single member.

When Is the South Dakota Annual Report Due?

The Secretary of State’s FAQ states that annual reports are due every year on the first day of the anniversary month of the initial filing. Filing opens two months before the due date.

The Secretary of State’s own example: an LLC filed on June 11, 2026 has its first annual report due June 1, 2027. Filing opens on April 2, 2027, and late fees begin on August 1, 2027.

A new due date option from 2027

A 2026 law (SL 2026, ch. 203) amends SDCL 59-11-25 from January 1, 2027. Entities will choose between two due dates: the anniversary month of formation, as now, or January 31 each year starting the year after formation. The choice is made on the formation document, and an entity in good standing can switch with a change-of-filing-date form. The Secretary of State’s FAQ does not yet explain how existing LLCs are assigned an option.

How Much Does the South Dakota LLC Annual Report Cost?

Per the Secretary of State’s filing fee schedule, the annual report costs $55 online and $70 on paper. The paper price includes a $15 charge for filing on paper a document that can be filed online. The same fee applies to domestic and foreign LLCs, and SDCL 47-34A-212 sets the $55 reporting fee.

A report filed after its delinquency date, two months after the due date, adds a $55 late fee.

What Information Does the South Dakota Annual Report Ask For?

Under SDCL 59-11-24 and the online filing instructions, the report asks for:

  • The LLC’s name and the jurisdiction where it was formed.
  • The principal office address.
  • The registered agent’s information.
  • The principal officers and governors, as the online form requests.
  • Whether the LLC owns agricultural land in South Dakota and whether it has foreign beneficial owners. If either applies, the report also asks for the land’s legal description or location, the total agricultural acreage and its current use.

The information must be current as of the date the report is submitted, and any authorized person can sign it.

How to File the South Dakota LLC Annual Report: Step by Step

  1. Check your due date. Look up the LLC in the Secretary of State’s filing search tool.
  2. Wait for the window. Filing opens two months before the first day of your anniversary month.
  3. Open the online filing. Start the online annual report. Only entities in Active status can file an original report online.
  4. Answer every question. Confirm the addresses, registered agent, officers and governors, and the agricultural land questions.
  5. Pay $55. Pay by Visa, MasterCard, American Express or Discover.
  6. Download the receipt. A receipt and acknowledgment are available right after payment.

Paper filing is available from the confirmation step of the online tool, for $70. An amendment to a filed annual report must be filed on paper.

What Happens If a South Dakota LLC Does Not File?

An LLC that has not filed within two months after the due date becomes delinquent and owes the $55 late fee. Under SDCL 47-34A-809 and 47-34A-810, a report not delivered within 60 days after it is due is grounds for administrative dissolution. The Secretary of State serves a notice, and if the LLC does not cure the problem within 60 days, the Secretary of State signs a certificate of dissolution. A dissolved LLC can only wind up its affairs.

For a foreign LLC, the same missed report allows revocation of its certificate of authority, with a notice that sets an effective date at least 60 days later.

Reinstating a dissolved South Dakota LLC

A dissolved South Dakota LLC reinstates in three steps, according to the reinstatement guide: file all delinquent annual reports online, request a tax clearance certificate from the South Dakota Department of Revenue, which sends it to the Secretary of State, and then mail the Application for Reinstatement with the $150 fee. If the registered agent has changed, a Statement of Change comes first. SDCL 47-34A-811 sets no deadline to reinstate, and reinstatement relates back to the dissolution date. Foreign LLCs cannot be reinstated and must apply for a new certificate of authority.

South Dakota Tips for Non-Resident Owners

Note your anniversary month and file in the two months before it, while the window is open. Use the online filing: it saves the $15 paper charge and gives you a receipt right away. Read the agricultural land questions carefully, because the report asks every LLC whether it has foreign beneficial owners.

Keep Your South Dakota LLC in Good Standing

Filing the South Dakota annual report by the first day of your anniversary month is what keeps your LLC in good standing with the Secretary of State. Banks, payment processors and new partners ask for proof of that status, and the document that shows it is a South Dakota certificate of good standing. Most missed filings trace back to one problem: the state’s reminder went to an old address. A registered agent service that scans and forwards state mail closes that gap. If a deadline has already passed, our guide on what happens when you miss an annual report deadline walks through the fix, and our LLC annual report guide for every state covers the rules in other states where you are registered.
