In Short: Hawaii LLC Annual Report

Every Hawaii LLC files an annual report with the Department of Commerce and Consumer Affairs, Business Registration Division (BREG), each year. The due date depends on the calendar quarter in which the LLC registered, and the fee is $12.50 online.

  • Who files: every Hawaii LLC and every foreign LLC registered in Hawaii.
  • Due date: the last day of the quarter in which the LLC registered: March 31, June 30, September 30 or December 31.
  • Fee: $12.50 online, $15 on paper.
  • Late fee: $10 for each delinquent year when filed online, and Hawaii law allows penalties of up to $100 for each 30 days of delinquency.
  • If you never file: after two years without a report, a Hawaii LLC can be administratively terminated. Reinstatement costs $25 within two years of termination.

Hawaii uses neither a single statewide deadline nor the formation anniversary. Each LLC files in the calendar quarter in which it registered, and the report reflects the LLC’s affairs as of the first day of that quarter.

This guide covers who files, how to find your quarter, the fees, what the report asks for, how to file on Hawaii Business Express, and what happens after missed reports.

Who Must File a Hawaii LLC Annual Report?

Hawaii requires an annual report from every domestic LLC and every foreign LLC registered to do business in the state, according to BREG’s LLC information sheet. The report is due whether the LLC is active, inactive or has a single member. An inactive LLC writes INACTIVE in the nature of business field.

No report is due for the calendar year in which the LLC registers.

When Is the Hawaii Annual Report Due?

The due date follows the quarter of the year in which the LLC was organized or registered in Hawaii:

  • Registered January 1 to March 31: due by March 31, reflecting affairs as of January 1.
  • Registered April 1 to June 30: due by June 30, as of April 1.
  • Registered July 1 to September 30: due by September 30, as of July 1.
  • Registered October 1 to December 31: due by December 31, as of October 1.

Reports can be filed any time during the quarter in which they are due. The first report is due in the LLC’s quarter of the year after it registered. An LLC registered in May 2026 files its first report between April 1 and June 30, 2027.

How Much Does the Hawaii LLC Annual Report Cost?

The fee is $12.50 when filed online and $15 on paper, the same for domestic and foreign LLCs, per BREG’s LLC fee schedule. Expedited review adds $25. BREG also offers optional email reminders, called MyBusiness Notifications, for $2.50 per year, and online filers receive a free reminder for the following year.

Late fees and penalties

An annual report filed online after its due date adds a $10 late fee for each year of delinquency. Hawaii law also allows penalties of up to $100 for each 30-day period a report stays delinquent. Under BREG’s administrative rules, penalties are assessed starting 15 days after the due date, and they can be waived or reduced on a written request that shows good cause.

What Information Does the Hawaii Annual Report Ask For?

The domestic LLC form (Form C5) asks for:

  • The company name and mailing address.
  • The principal office address.
  • The nature of the business, which is optional.
  • The jurisdiction of organization.
  • The registered agent’s name and Hawaii street address. A Hawaii LLC cannot act as its own agent.
  • Whether the LLC is manager-managed or member-managed, with the total number of members for a manager-managed LLC.
  • The names and business addresses of all managers or members.
  • A signed certification by a manager or member.

How to File the Hawaii LLC Annual Report: Step by Step

  1. Find your quarter. Check the date the LLC was organized or registered in Hawaii and match it to the quarter list above.
  2. Open Hawaii Business Express. Go to Hawaii Business Express, which replaced the older hbe.ehawaii.gov address, and select the annual report.
  3. Review the details. Confirm the addresses, registered agent and managers or members.
  4. Pay $12.50. Pay by credit card, eCheck or an eHawaii.gov subscriber account.
  5. Save the confirmation. Keep a copy with the LLC’s records.

Prefer paper? Mail Form C5, or Form C6 for a foreign LLC, with a $15 check payable to the Department of Commerce and Consumer Affairs to BREG annual filing at P.O. Box 40, Honolulu, HI 96810.

What Happens If a Hawaii LLC Does Not File?

After a domestic LLC goes two years without filing an annual report, the Director of Commerce and Consumer Affairs can administratively terminate it. A foreign LLC that goes two years without a report can have its certificate of authority revoked.

Reinstating a terminated Hawaii LLC

A terminated Hawaii LLC files Form X-4, Application for Reinstatement, within two years after the termination took effect. The fee is $25. The LLC must file all delinquent annual reports, pay all delinquent fees and penalties, and attach a certificate from the Hawaii Department of Taxation showing its taxes are paid, under a payment arrangement or under appeal. The X-4 form states that only domestic entities may apply for reinstatement.

Hawaii Annual Report Tips for Non-Resident Owners

Look up your registration date once and write down your quarter, since the due date stays the same every year after that. File online: it costs $2.50 less than paper and includes a free reminder for the next year. Update old bookmarks, because Hawaii Business Express moved to hbe.dcca.hawaii.gov and the old address now shows a redirect notice.

Keep Your Hawaii LLC in Good Standing

Filing the Hawaii annual report in your quarter each year is what keeps your LLC in good standing with the Business Registration Division. Banks, payment processors and new partners ask for proof of that status, and the document that shows it is a Hawaii certificate of good standing. Most missed filings trace back to one problem: the state’s reminder went to an old address. A registered agent service that scans and forwards state mail closes that gap. If a deadline has already passed, our guide on what happens when you miss an annual report deadline walks through the fix, and our LLC annual report guide for every state covers the rules in other states where you are registered.
